The Management Board of "DINOPOLSKA" S.A. (the "Company") informs that on 15 December 2025, theCompany's Supervisory Board adopted a resolution appointing, with effectfrom 1 January 2026, Mr. Sławomir Niżałowski as a Member of theManagement Board of "DINO POLSKA" S.A. for the joint term of theManagement Board, which commenced on 1 January 2025.

Sławomir Niżałowski (53) worked at variousorganizational levels within Mars Inc. from 1995 to 2025, gainingexperience in logistics, finance and sales, ultimately assumingresponsibility for managing Mars Inc. operations in Central Europe. From2017 to 2024, he served as President of the Management Board of MarsPoland. From 2024 until August 2025, as General Manager of Mars PetNutrition, he was responsible for operations across 10 countries inCentral Europe.

Since September 2025, he has held the position ofDirector of Organisation and Operational Management at "DINO POLSKA"S.A. In addition, since 2002 he has been running his own agriculturalfarm. Sławomir Niżałowski is a graduate of the Wrocław University ofEconomics.

According to the representation provided by SławomirNiżałowski, he does not conduct any activity in any form that wouldcompete with "DINO POLSKA" S.A., nordoes he participate in any competing company as a partner of a civil orcommercial law partnership, or a capital company, and he does notparticipate in a competing legal entity as a member of its governingbody. Furthermore, he is not listed in the Register of Insolvent Debtorskept on the basis of the Polish National Court Register Act.
