Report Content The Management Board of ProGuns Group S.A., with itsregistered office in Warsaw (the "Issuer"), hereby announces that onDecember 15, 2025 the Issuer entered into a commercial cooperationagreement (the "Agreement") with Aerometals Inc., a company incorporatedand operating under the laws of the State of California (USA), with itsregistered office in El Dorado Hills, CA.
The purpose of the Agreement is to establish along-term cooperation framework in the areas of marketing, sales, andcustomer support for the products of Aerometals Inc., includingtechnologically advanced helicopter engine inlet barrier filters andexhaust systems (IBF and Straight Exhaust), within the designatedterritory of Poland, Portugal, Croatia, Turkiye, Albania, Slovakia,Czech Republic, Baltics, and Ukraine.
Aerometals Inc. is a company engaged in the design,manufacturing, and supply of components and parts for the aviation anddefence industries. Pursuant to the provisions of the Agreement, theparties have established a commercial representative model ofcooperation, under which the Issuer, acting as an agent, undertakes topromote, negotiate, and finalize the sale of Aerometals Inc.'s productswithin the designated territory, as well as to provide support tocustomers acquired under this cooperation.
The Agreement is framework in nature and sets out thekey principles governing the cooperation, in particular: theremuneration mechanisms for the Issuer, the information and marketingobligations of the parties, and the rules for handling and responding tosales inquiries.
The Agreement has been concluded for an initialperiod of 24 months, with the possibility of extension upon writtenconsent of both parties.
The Agreement contains comprehensive provisionsregarding confidentiality, noncompetition, and the strict compliance byboth parties with applicable laws, in particular U.S. export controlregulations (including the International Traffic in Arms Regulations -ITAR) and anti-corruption laws (including the U.S. Foreign CorruptPractices Act).
The execution of the Agreement represents asignificant step for the Issuer in the development of its businessactivities in the advanced aviation and defence technology sector.Cooperation with a reputable U.S. manufacturer such as Aerometals Inc.allows the Issuer to expand its portfolio of high-tech products,strengthen its position within the international aerospace supply chain,and gain direct access to innovative solutions for helicopter engineprotection.
Establishing a partnership with a supplier ofwell-established market standing opens up
opportunities for the Issuer to further developexpertise in specialised aviation equipment and to generate additionalrevenue in future periods.
