Report Content The Management Board ofProgunsGroup S.A., with its registered office in Warsaw (the"Issuer"), hereby announces that on15 December2025the Issuer entered into aframeworkcooperation agreement(the "Cooperation Agreement") withResicumInternational, LLC, with its registered office in Warrenton,Virginia, USA.
The subject of the framework agreement iscooperation in the preparation and submission ofjoint bidsin procurement procedures conducted in Polandfor projectsrelated to thetraining of flight crews and groundpersonnel for the S-70i helicopter. The cooperation may alsocover other projects that may be identified and jointly agreed upon bythe parties in the future.
Resicum International, LLC is a U.S.-basedcompany operating in the defence and aviation services sector, providingtraining, mission support, maintenance, and logistics services togovernment and commercial clients worldwide. Its offerings includeaviation, cybersecurity, and tactical training, as well as aircraftmaintenance and comprehensive operational support.
The parties to the agreement operate incomplementaryfields, including, among others, aviation and ground personneltraining, aviation support services, and other specialized activities.The purpose of the cooperation is to support the other party byproviding know-how, personnel, qualifications, infrastructure, and otherresources necessary for the preparation of bids and, where applicable,the execution of contracts awarded to the parties.
If the parties are awarded a contract under animplementing agreement for which they jointly submitted a bid, they willjointly participate in the execution of such contract. The scope ofjoint participation and the manner of allocating responsibilities willbe determined already at the bid submission stage, in accordance withapplicable Polish public procurement law, individually for each projectin a separate implementing agreement.
The execution of the framework cooperationagreement constitutes another step in the implementation of the Issuer'sstrategy aimed at developing competencies in the defence and aviationsector.
The Issuer considers the above information tobe significant due to its importance for the Issuer's development andits potential impact on the Issuer's results. In the opinion of theIssuer's Management Board, the conclusion and performance of theCooperation Agreement will contribute to the Issuer's growth and resultin a material improvement in its financial performance.
