The issuer is solely responsible for the content of this announcement. —————————————————————————— Entry of the control and profit distribution contract between the company and ContiTech AG into the trade register of Phoenix AG With a letter from 10 March 2005 the local court of Hamburg informed us that the control and profit distribution contract from 16 November 2004 between ContiTech AG, Hanover as the controlling company and Phoenix AG, Hamburg as the dependent company entered into the trade register on 9 March 2005. ContiTech AG is a subsidiary of Continental AG, Hanover. The control and profit distribution contract has become effective with its entry. The Shareholder’s Meetings of ContiTech AG and Phoenix AG approved the contract on 23 December 2004 and 28 December 2004, respectively.
