Sermaye Piyasası Kurulu'nun (II-17.1) sayılı Kurumsal Yönetim Tebliğinin 1.3.10. maddesi gereğince hazırlanan "Bağış ve Yardım Politikası"nın yapılacak ilk Genel Kurul toplantısında pay sahiplerinin onayına sunulmasına,

Sermaye Piyasası Kurulu'nun (II-17.1) sayılı Kurumsal Yönetim Tebliğinin 4.6.2. maddesi gereğince hazırlanan "Yönetim Kurulu Üyelerinin ve Üst Düzey Yöneticilerin Ücretlendirme Esasları"nın yapılacak ilk Genel Kurul toplantısında pay sahiplerinin bilgisine sunulmasına,

Yukarıda bahsedilen politikaların ayrıca, Kamuyu Aydınlatma Platformu'nda ilan edilmesine ve Şirket'in internet sitesinde   ( [www.tumosan.com.tr](http://www.tumosan.com.tr/) ) yayımlanmasına karar verilmiştir.

In accordance with Article 1.3.10 of the Corporate Governance Communiqué (II-17.1) of the Capital Markets Board, it has been resolved to submit the "Donations and Aid Policy," which has been prepared in line with the relevant regulations, to the approval of the shareholders at the first upcoming General Assembly meeting,

In accordance with Article 4.6.2 of the Corporate Governance Communiqué (II-17.1) of the Capital Markets Board, it has also been resolved to present the "Remuneration Principles for the Members of the Board of Directors and Senior Executives" to the information of the shareholders at the same General Assembly meeting,

It has further been resolved that the above-mentioned policies shall be disclosed on the Public Disclosure Platform (KAP) and published on the Company's website ( [www.tumosan.com.tr](http://www.tumosan.com.tr/) ).
