## **AUSTRIACARD HOLDINGS AG: FINAL ANNOUNCEMENT IN THE CONTEXT OF THE SHARE BUY-BACK PROGRAM III (Art 7 para 4 Austrian Publication Regulation 2018 (Veröffentlichungsverordnung 2018)**

AUSTRIACARD HOLDINGS AG (the "Company") in accordance with Regulation (EU) no. 596/2014 of the European Parliament and of the Council of April 16, 2014, Commission Delegated Regulation (EU) 2016/1052 of March 8, 2016, as well as the Austrian Publication Regulation 2018 (Veröffentlichungsverordnung 2018), in the context of the Share Buy-Back Program ΙΙI implemented on the basis of the authorization of the annual general meeting held on 30 June 2023 by the decisions of the Company's Management and Supervisory Board of 7 January 2025, announces that on 24 June 2025 the Share Buy-Back Program III has been terminated. The annual general meeting held on 24 June 2025 adopted a resolution that the authorizations granted by resolution of the annual general meeting on 30 June 2023 under agenda item 7 are revoked to the extent not yet used and resolved to grant a new authorization to the Management Board to acquire own shares of the Company (agenda item 9). Hence the Share Buy-Back Program III has been terminated on 24 June 2025, instead of 9 July 2025 (which was the anticipated duration as published on 7 January 2025).

In total, under the Share Buy-Back Program III, the Company bought back 86.497 own shares at a weighted average price of EUR 6,0125 per share (lowest consideration paid per share EUR 5,76 and highest consideration paid per share EUR 6,40). This corresponds to 0,2379% of the Company's total share capital. The total price without incidental expenses of the repurchased shares was EUR 519.412,09.

The share buy-backs were carried out by PIRAEUS SECURITIES S.A. via trading on the Athens Stock Exchange (ATHEX).

After the above transactions of the Share Buy-Back Program III and the previous share buyback programs (Share Buy-Back Program I completed on 21 June 2024 and Share Buy-Back Program II completed on 31 December 2024), the Company in total owns 448.799 own shares, which represent 1,2345% of the total shares.

AUSTRIACARD HOLDINGS AG considers to use the repurchased shares for transferring shares to employees, senior executives as well as members of the management board of the company or its subsidiaries (Sec 189a no 7 Austrian Commercial Code) for remuneration purposes in accordance with the authorization resolution of the annual general meeting held on 30 June 2023.
