Held 13 June 2025 kl. 10.00 CEST. The general meeting was held at the offices of Advokatfirmaet CLP DA, Sommerrogata 13-15, 0255 Oslo.

The following was at the agenda:

**1 ÅPNING AV GENERALFORSAMLINGEN OG OPPTAK AV FORTEGNELSE OVER MØTENDE AKSJEEIERE**

Generalforsamlingen ble åpnet av advokat Joakim Gjerde på vegne av styret.

Det ble foretatt opptak og fortegnelse over møtende aksjeeiere representert ved deltakelse eller fullmakt. Fortegnelsen er vedlagt denne protokollen som Vedlegg 1.

# **2 VALG AV MØTELEDER OGÉN PERSON TIL Å MEDUNDERTEGNE PROTOKOLLEN**

Joakim Gjerde ble valgt til møteleder. Eldar Paulsrud ble valgt til <sup>å</sup> medundertegne protokollen sammen med møteleder.

Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg <sup>2</sup> til denne protokollen.

# **3 GODKJENNELSE AV INNKALLING OG FORSLAG TIL DAGSORDEN**

Møteleder reiste spørsmål om det var bemerkninger til innkallingen eller agendaen.

Da det ikke fremkom noen innvendinger, ble innkallingen og dagsorden ansett som godkjent. Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg 2 til denne protokollen.

Møteleder erklærte deretter generalforsamlingen som lovlig satt.

# **1 OPENING OF THE GENERAL MEETING AND RECORDING OF THE PARTICIPATING AND REPRESENTED SHAREHOLDERS**

The general meeting was opened by Joakim Gjerde, legal counsel forthe Company, on behalf of the board of directors.

It was taken attendance of the shareholders present in person or by proxy. The list of voting shares present is enclosed to these minutes as Appendix 1.

# **2 ELECTION OF CHAIRMAN OF THE MEETING AND OF ONE PERSON TO CO-SIGNTHE MINUTES**

Joakim Gjerde was elected to chair the general meeting. Eldar Paulsrud was elected to co-sign the minutes together with the chairman of the general meeting.

The resolution was passed with the required majority, cf. the result of said voting set out in Appendix 2 to the minutes.

# **3 APPROVAL OF THE SUMMONING OF THE MEETING AND THE AGENDA**

The chairman of the general meeting raised the question whether there were any objections to the notice or the agenda of the general meeting.

No such objections were made, and the notice and the agenda were approved. The resolution was passed with the required majority, cf. the result of said voting set out in Appendix 2 to the minutes.

The chairman of the general meeting thereafter declared that the general meeting had been lawfully convened.

**4 GODKJENNELSE AV ÅRSREGNSKAPET OG ÅRSBERETNINGEN FOR 2024, HERUNDER KONSERNREGNSKAPET**

Årsregnskapet, årsberetningen og revisors beretning for 2024, herunder konsernregnskapet, er gjort tilgjengelig på Selskapets hjemmeside https://standardsupply.com/ og på [www.newsweb.no](https://standard-supply.com/).

**4 APPROVAL OF THE ANNUAL ACCOUNTS AND THE DIRECTORS' REPORT FOR THE FINANCIAL YEAR 2024, INCLUDING THE CONSOLIDATED ACCOUNTS FOR THE GROUP**

The annual accounts, the directors' report and the auditor's report for the financial year 2024, including the consolidated accounts for the group, have been made available on the Company's website https://standardsupply.com/ and on [www.newsweb.no](https://standard-supply.com/).

Møteleder viste til ovennevnte dokumenter og redegjorde for styrets forslag.

Generalforsamlingen fattet deretter følgende vedtak <sup>i</sup> overenstemmelse med styrets forslag:

*Årsregnskapet og årsberetningen for regnskapsåret 2024 for Standard Supply AS, herunder konsernregnskapet, godkjennes. Morselskapets årsresultat på USD 16 991 808 henføres til udekket tap og annen egenkapital.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg <sup>2</sup> til denne protokollen.

The Chairman referred to the abovementioned documents and presented the Board's proposal.

In accordance with the Board's proposal, the general meeting passed the following resolution:

*The annual accounts and the directors' reportfor the financial year 2024 for Standard Supply AS, including the consolidated accounts for the group, are approved. The parent company's annual result of USD 16,991,808 shall be allocated to uncovered loss and other equity.*

The resolution was passed with the required majority, cf. the result of said voting set out in Appendix 2 to the minutes.

#### **5 GODKJENNELSE AV REVISORS GODTGJØRELSE 5 APPROVALOFTHE AUDITOR'S FEES**

Møteleder redegjorde for styrets forslag. Generalforsamlingen fattet deretter følgende vedtak <sup>i</sup> overenstemmelse med styrets forslag: resolution:

*Revisors godtgjørelse godkjennes etter regning, som nærmere spesifisert i note til årsregnskapet.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg 2 til denne protokollen.

Generalforsamlingen fattet deretter følgende vedtak i overenstemmelse med styrets forslag:

*Espen Lundaas velges som ny styreleder, og Espen Landmark Fjermestad velges som nytt styremedlem. Begge styremedlemmer skal ha en valgperiode frem til ordinær generalforsamling 2027.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg <sup>2</sup> til denne protokollen.

### **7 FASTSETTELSE AV GODTGJØRELSE TIL STYRET**

Møteleder redegjorde for styrets forslag.

Generalforsamlingen fattet deretter følgende vedtak <sup>i</sup> overenstemmelse med styrets forslag:

*Godtgjørelse til styrets medlemmerfor perioden fra ordinær generalforsamling i 2025 til ordinær generalforsamling i 2026 skal være som følger:*

- *- Styreleder: NOK: 275 000*
- *Øvrige styremedlemmer: NOK 225 000*

Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg <sup>2</sup> til denne protokollen.

### **6 STYREVALG 6 BOARD ELECTION**

The chairman of the meeting gave an account for the proposal from the board.

In accordance with the Board's proposal, the general meeting passed the following resolution:

*Espen Lundaas is elected as the new Chairman of the Board, and Espen Landmark Fjermestad is elected as a new board member. Both directors shall have a term of office until the annual general meeting in 2027.*

The resolution was passed with the required majority, cf. the result of said voting set out in Appendix 2 to the minutes.

### **7 DETERMINATION OF REMUNERATION TO THE BOARD OF DIRECTORS**

The chairman of the meeting gave an account for the proposal from the board.

In accordance with the Board's proposal, the general meeting passed the following resolution:

*Remuneration to the members of the Board of Directors for the periodfrom the annual general Meeting in 2025 until the annual general Meeting in 2026 shall be as following:*

- *- Chairman: NOK 275,000*
- *- Directors: NOK 225,000*

The resolution was passed with the required majority, cf. the result of said voting set out in Appendix 2 to the minutes.

# **8 FORSLAG OM TILDELING AV FULLMAKT TIL Å BESLUTTE UTBYTTEUTDELING**

Møteleder redegjorde for styrets forslag.

Generalforsamlingen fattet deretter følgende vedtak <sup>i</sup> overenstemmelse med styrets forslag:

*Styret gis fullmakt til å beslutte utdeling av utbytte på grunnlag av årsregnskapet for 2024, jf. aksjeloven § 8-2 (2).*

*Fullmakten skal gjelde frem til ordinær generalforsamling i 2026, men likevel ikke senere enn 30. juni 2026.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg 2 til denne protokollen.

# **9 FORSLAG OM FULLMAKT TIL Å ØKE AKSJEKAPITALEN**

Møteleder redegjorde for styrets forslag.

Generalforsamlingen fattet deretter følgende vedtak <sup>i</sup> overenstemmelse med styrets forslag:

- (i) *Styrefullmakten til å øke aksjekapitalen tildelt 7. mars 2024 kanselleres.*
- (ii) *Styret gis fullmakt til å forhøye aksjekapitalen med opp til NOK 9 386 310 ved utstedelse av inntil 938 631 nye aksjer hver pålydende NOK 10. Fullmakten kan benyttes flere ganger innenfor denne rammen.*
- (iii) *Tegningskurs og øvrige vilkår besluttes av styret.*

# **8 PROPOSAL FOR GRANT OF AN AUTHORIZATION TO RESOLVE DIVIDEND DISTRIBUTIONS**

The chairman of the meeting gave an account for the proposal from the board.

In accordance with the Board's proposal, the general meeting passed the following resolution:

*The Board of Directors is granted an authorization to resolve dividend distributions based on the annual accounts for 2024, cf. the Norwegian Private Limited Companies Act section 8-2 (2).*

*The authorization shall be valid until the Annual general meeting in 2026, however not later than 30 June 2026.*

The resolution was passed with the required majority, cf. the result of said voting set out in Appendix <sup>2</sup> to the minutes.

# **9 PROPOSAL FOR AUTHORIZATION TO INCREASE THE SHARE CAPITAL**

The chairman of the meeting gave an account for the proposal from the board.

In accordance with the Board's proposal, the general meeting passed the following resolution:

- (i) *The Board authorization to increase the share capital granted on 7 March 2024 is cancelled.*
- (ii) *The Board of Directors is given the authority to increase the share capital with up to NOK 9,386,310 through the issuance of up to 938,631 new shares, each with a par value of NOK 10. Within this limit, the authorization may be used several times.*
- (iii) *The subscription price and other*
- (iv) *Fullmakten omfatter kapitalforhøyelse ved innskudd i andre eiendeler enn penger eller rett til å pådra Selskapet særlige plikter og innskudd ved motregning, jf. aksjeloven § 10-14 (2) nr. 4.*
- (v) *Styret kan fravike fortrinnsretten, jf. aksjeloven § 10-4.*
- (vi) *Fullmakten omfatter ikke beslutning om fusjon, jf. aksjeloven § 13-5.*
- (vii) *Styret gis fullmakt til å endre vedtektenes angivelse av aksjekapitalens størrelse i samsvar med de kapitalforhøyelser styret beslutter under denne fullmakten.*
- (viii) *Fullmakten gjelder i to år fra datoen for denne generalforsamlingen.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg 2 til denne protokollen.

# **10 FORSLAG OM FULLMAKT TIL KJØP AV EGNE AKSJER**

Generalforsamlingen fattet deretter følgende vedtak <sup>i</sup> overenstemmelse med styrets forslag:

- (i) *Styrefullmakten til å erverve egne aksjer* (i) *tildelt* 7. *mars 2024 kanselleres.*
- (ii) *Styret kan erverve egne aksjer i Selskapet, ved en eller flere anledninger, med en* (ii)

*subscription terms shall be determined by the Board of Directors.*

- (iv) *The authorization shall include capital increases against contribution in kind or the right to subject the company to specific obligations and contribution through setoff, cf. the Norwegian Private Limited Liability Companies Act section 10-14 (2) no. 4.*
- (v) *The Board of Directors may deviate from the existing shareholders preferential rights to subscribe for shares pursuant to the Norwegian Private Limited Liability Company Act section 10-4.*
- (vi) *The authorization does not include authorization to resolve mergers, cf. the Norwegian Private Limited Liability Companies Act section 13-5.*
- (vii) *The Board of Directors is given authorization to change the articles of association regarding the size of share capital in accordance with such share capital increases as decided by the board of directors under this authorization.*
- (viii) *This authorization is valid for two years following the date of this general meeting.*

The resolution was passed with the required majority, cf. the result of said voting set out in Appendix 2 to the minutes.

# **10 PROPOSAL FOR AUTHORIZATION TO ACQUIRE TREASURY SHARES**

Møteleder redegjorde for styrets forslag. The chairman of the meeting gave an account for the proposal from the board.

> In accordance with the Board's proposal, the general meeting passed the following resolution:

- *The Board authorization to acquire treasury shares granted on* 7 *March 2024 is cancelled.*
- *The Board of Directors is authorized to*

*samlet pålydende verdi på inntil NOK <sup>1</sup> 877 260. Fullmakten omfatter også avtalepant i Selskapets aksjer.*

- (iii) *Styret står fritt med hensyn til hvilken måte erverv eller avhendelse av egne aksjer skal skje.*
- (iv) *Selskapet kan betale minimum NOK 10 per aksje og maksimum NOK 100 per aksje.*
- (v) *Fullmakten gjelder i to år fra datoen for denne generalforsamlingen.*

Beslutningen ble truffet med nødvendig flertall, jf. avstemningsresultatet inntatt som Vedlegg 2 til denne protokollen.

# **11 FORSLAG OM FULLMAKT TIL OPPTAK AV KONVERTIBELT LÅN**

Møteleder redegjorde for styrets forslag.

Generalforsamlingen fattet deretter følgende vedtak <sup>i</sup> overenstemmelse med styrets forslag:

*Styrefullmakten til å ta opp konvertible lån tildelt 7. mars 2024 kanselleres.*

*Styret gis hervedfullmakt til å ta opp konvertible lån for et beløp tilsvarende inntil NOK 50 000 000, jf. aksjeloven § 11-8. Innenfor denne rammen kan fullmakten benyttes flere ganger.*

*Tegningskurs og andre vilkår ved låneopptaket besluttes av styret.*

*Ved konvertering av lånet til aksjer i Selskapet kan Selskapets aksjekapital økes med inntil NOK 9 386 310. Aksjeeiernesfortrinnsrett ved tegning av lånene skal kunne fravikes.*

*acquire own shares in the Company, on one or several occasions, with a par value of up to NOK 1,877,260. The authorization also includes agreements regarding pledges over its own shares.*

- (iii) *The Board of Directors shall decide the manner of acquisition, disposition, transfer and/ or sale of own shares.*

- (v) *The authorization is valid for two years following the date of this general meeting.*

# **11 PROPOSAL FOR AUTHORIZATION TO RAISE CONVERTIBLE LOANS**

The chairman of the meeting gave an account for the proposal from the board.

In accordance with the Board's proposal, the general meeting passed the following resolution:

*The Board authorization to raise convertible loans granted on 7 March 2024 is cancelled.*

*The Board is hereby granted the authority to raise convertible loans for an amount corresponding to up to NOK 50,000,000, cf. the Norwegian Private Limited Liability Companies Act section 11-8. Within this limit, the authorization may be used several times.*

*Subscription price and other terms related to the raise of the loan shall be determined by the Board.*

*Upon conversion of the loan to shares in the Company, the share capital ofthe Company may be increased with up to NOK 9,386,310. The*
