# **AVVISO AGLI AZIONISTI ASSEMBLEA DEL 30 MAGGIO 2025**

## **Pagamento del dividendo**

Si rende noto che l'Assemblea degli Azionisti di OVS S.p.A., tenutasi il 30 maggio 2025, ha deliberato *inter alia* di distribuire agli Azionisti un dividendo pari ad Euro 0,11 al lordo delle eventuali ritenute di legge per ciascuna azione avente diritto, che verrà messo in pagamento a decorrere dal 25 giugno 2025, con stacco cedola n.8 il 23 giugno 2025 e *record date* il 24 giugno 2025. Resta inteso che le azioni proprie in possesso della Società alla *record date* saranno escluse dalla distribuzione del dividendo.

#### **Verbale assembleare e nuovo testo di Statuto sociale**

OVS S.p.A. altresì rende noto che il verbale dell'Assemblea degli Azionisti del 30 maggio 2025 e il nuovo testo dello Statuto sociale saranno messi a disposizione del pubblico presso la sede legale della società in Venezia-Mestre, Via Terraglio n. 17, sul sito internet della Società [\(www.ovscorporate.it,](http://www.ovscorporate.it/) Sezione Governance/Assemblea degli Azionisti) e presso il meccanismo di stoccaggio autorizzato "1Info" al sit[o www.1info.it,](http://www.1info.it/) nei termini di legge.

# **NOTICE TO SHAREHOLDERS SHAREHOLDERS' MEETING HELD ON 30 MAY 2025**

#### **Dividend payment**

It is announced that the Shareholders' Meeting of OVS S.p.A. held on 30 May 2025 resolved, inter alia, to distribute an ordinary dividend of Euro 0,11 gross of withholding taxes, per dividend bearing share, whose payment date is set at 25 June 2025, coupon detachment n.8 date set at 23 June 2025 and record date set at 24 June 2025. It should be noted that the treasury shares held by the Company at the record date will not grant any dividend rights.

### **Minutes of the Shareholders' Meeting and the new version of the Bylaws**

In addition, OVS S.p.A. informs that the minutes of the Shareholders' Meeting of 30 May 2025 and the new version of the Company Bylaws will be made available to the public at the Company's registered office in Venezia-Mestre, Via Terraglio 17, on the Company's website [\(www.ovscorporate.it,](http://www.ovscorporate.it/) section Governance/Shareholders' Meeting) and on the "1Info" authorised storage mechanism at [www.1info.it,](http://www.1info.it/) according to the terms and conditions prescribed by law.

The present notice will be published on 1 June 2025 in the IlSole24Ore newspaper.
