# **ACCORDO DI CONSULTAZIONE IN RELAZIONE ALL'OFFERTA PUBBLICA DI ACQUISTO E SCAMBIO PROMOSSA DA BANCA IFIS S.P.A. SULLA TOTALITÀ DELLE AZIONI ORDINARIE DI ILLIMITY BANK S.P.A.**

*Milano, 30 maggio 2025* – In relazione all'offerta pubblica di acquisto e scambio volontaria (l'"**Offerta**") promossa da Banca Ifis S.p.A. sulla totalità delle azioni ordinarie di illimity Bank S.p.A. ("**illimity**" o la "**Banca**"), ai sensi dell'art. 41, comma 2, lettera a) del Regolamento Consob n. 11971/1999, taluni azionisti, titolari complessivamente di una partecipazione pari a circa il 27,2% del capitale sociale della Banca, rendono nota la comunicazione, di seguito integralmente riprodotta, avente ad oggetto l'accordo che prevede, *inter alia*, la consultazione fra tali azionisti in relazione all'Offerta, ovviamente nel rispetto del principio di trasparenza verso il mercato e della parità di trattamento degli azionisti di fronte ad offerte pubbliche.

# **PRESS RELEASE PURSUANT TO ARTICLE 41, PARAGRAPH 2, LETTER A) OF CONSOB REGULATION NO. 11971/1999**

# **CONSULTATION AGREEMENT REGARDING THE PUBLIC PURCHASE AND EXCHANGE OFFER LAUNCHED BY BANCA IFIS S.P.A. FOR ALL ORDINARY SHARES OF ILLIMITY BANK S.P.A.**

*Milan, May 30, 2025* – In connection with the voluntary public purchase and exchange offer (the "**Offer**") launched by Banca Ifis S.p.A. for all ordinary shares of illimity Bank S.p.A. ("**illimity**" or the "**Bank**"), pursuant to Article 41, paragraph 2, letter a) of Consob Regulation No. 11971/1999, certain shareholders, collectively holding approximately 27.2% of the Bank's share capital, announce the following communication, fully reproduced below. The communication concerns an agreement that provides, among other things, for consultation among these shareholders regarding the Offer, in accordance with the principles of market transparency and equal treatment of shareholders in public offers.

## **Oggetto: Offerta pubblica di acquisto e scambio volontaria promossa da Banca Ifis S.p.A. sul 100% delle azioni ordinarie di illimity Bank S.p.A. ("OPAS") – Patto di consultazione**

Egregi Signori,

facciamo riferimento all'offerta di cui all'oggetto, comunicata da Banca Ifis S.p.A. ("**Banca Ifis**") in data 8 gennaio 2025 (il "**Comunicato 102**"), al comunicato stampa di Banca Ifis del 7 maggio u.s. (in relazione all'approvazione da parte di Consob del documento di offerta) e, infine, al documento di offerta e al documento di esenzione pubblicati da Banca Ifis in data 9 maggio u.s. (collettivamente la "**Documentazione di Offerta**"), per rappresentare la posizione dei seguenti azionisti di illimity Bank S.p.A. ("**illimity**").

Facciamo altresì riferimento al comunicato pubblicato da illimity in data 16 maggio u.s. (il "**Comunicato 103**"), in cui sono riportate le valutazioni del Consiglio di Amministrazione di illimity in merito all'OPAS e, nello specifico, a quelli che riteniamo essere significative incertezze e rilevanti rischi connessi all'operazione di integrazione come proposta, allo stato, da Banca Ifis, che non vede riconosciute in modo equilibrato e bilanciato le sinergie ed il valore futuro atteso agli attuali azionisti di illimity. L'OPAS prevede un corrispettivo complessivo (di circa Euro 300 mln) che è pari al 30% circa del patrimonio netto contabile di illimity al 31 marzo 2025 (pari a circa Euro 900 mln).

Tutto ciò premesso, i seguenti azionisti:

- **Alisei Forinvestments S.r.l.**, con sede in Monza, Via Cernuschi n. 6, C.F. e P.IVA n. 10815020960 (titolare di una partecipazione pari a circa lo 0,986% del capitale sociale),
- **AMC Metis S.à r.l.**, con sede in Luxembourg, 12C rue Guillaume Kroll, L-1882, R.C.S. Luxembourg: B221624 (titolare di una partecipazione pari a circa il 6,303% del capitale sociale),
- **Buenafortuna Capital S.r.l.**, Monza, in Via Cernuschi n. 6, C.F. e P.IVA n. 10815010961 (titolare di una partecipazione pari a circa lo 0,986% del capitale sociale),
- **Fidim S.p.A.**, con sede in Monza, Via Valosa di Sopra n. 9, C.F. e n. di iscrizione Registro delle Imprese 08432100157 (titolare di una partecipazione pari a circa il 7,660% del capitale sociale),
- **Corrado Passera** (*a titolo personale*), nato a Como, il 30 dicembre 1954, codice fiscale PSSCRD54T30C933K (titolare di una partecipazione pari a circa il 0,018% del capitale sociale),
- **Tensile – Metis Holdings S.à r.l.**, *Société à responsabilité limitée*, con sede in Luxembourg, 28 Boulevard F.W. Raiffeisen, L-2411, R.C.S. Luxembourg: B 222014 (titolare di una partecipazione pari a circa il 7,255% del capitale sociale), e
- **Tetis S.p.A.**, con sede in Milano, Via G. Boccaccio n. 4, iscritta al Registro delle Imprese di Milano con codice fiscale n. 10138400964 (titolare di una partecipazione pari a circa il 3,955% del capitale sociale),

(tutti i predetti soci congiuntamente, gli "**Azionisti**"), complessivamente titolari di una partecipazione pari a circa il **27,2%** del capitale sociale di illimity, che, per quanto occorrer possa, sottoscrivono la presente anche ai sensi e per gli effetti dell'art. 122 del D.Lgs. n. 58/1998 ("**TUF**"),

- alla luce di quanto indicato nel Comunicato 102,
- visto anche l'esito dell'Assemblea ordinaria di illimity del giorno 29 aprile 2025,
- analizzata e valutata la Documentazione di Offerta,
- sulla base degli attuali termini e condizioni dell'OPAS, indicati nella Documentazione di Offerta,
- analizzato e valutato il Comunicato 103 e ritenute particolarmente rilevanti le carenze informative, le incertezze ed i rischi ivi segnalati,

che, in funzione dei termini e condizioni dell'OPAS ritenuti allo stato non soddisfacenti, hanno convenuto di consultarsi tra di loro in relazione all'OPAS, agli eventuali sviluppi della stessa e alle ulteriori comunicazioni e azioni al riguardo che potranno essere svolte, a tutela del valore del loro investimento e della stessa illimity.

Ciascuno degli Azionisti si impegna altresì – dalla data odierna e fintanto che non ci sia un altro azionista che (da solo o congiuntamente ad altri) disponga della maggioranza dei diritti di voto esercitabili in assemblea ordinaria di illimity – a non acquistare (direttamente o indirettamente, anche per il tramite di soggetti che agiscano in concerto con esso) azioni illimity ulteriori rispetto a quelle di propria titolarità alla data odierna ovvero a non stipulare o porre in essere qualsiasi operazione, negozio o atto che possa comportare l'applicazione delle disposizioni del TUF in materia di offerta pubblica di acquisto obbligatoria.

Il presente patto di consultazione ha durata indeterminata, restando comunque inteso che i predetti impegni cesseranno di avere efficacia in caso di decadenza o mancato perfezionamento dell'OPAS.

Con la presente, si richiede ad illimity, per quanto di competenza, di provvedere ad ogni adempimento (anche ai sensi dell'art. 122 del TUF e relative disposizioni attuative, nonché dell'art. 41, comma 2, del Regolamento adottato con delibera Consob n. 11971/99 e s.m.i.), anche pubblicitario, relativo e/o connesso alla presente comunicazione, affinché venga portata a conoscenza degli Organi Sociali e mediante tempestiva pubblicazione - di tutti gli azionisti di illimity.

## **Re: Voluntary public tender and exchange offer promoted by Banca Ifis S.p.A. concerning all the ordinary shares of illimity Bank S.p.A. ("Offer") – Consultation Agreement**

Dear Sirs,

We refer to the offer mentioned in the object, announced by Banca Ifis S.p.A. ("**Banca Ifis**") on 8 January 2025 (the "**Notice 102**"), to the press release issued by Banca Ifis on 7 May 2025 (relating to the approval by Consob of the offer document) and, finally, to the offer document and the exemption document published by Banca Ifis on 9 May 2025 (collectively, the "**Offer Documentation**"), to represent the position of the following shareholders of illimity Bank S.p.A. ("**illimity**").

We also refer to the issuer's notice published by illimity on 16 May 2025 (the "**Issuer's Notice**"), which sets out the considerations of the Board of Directors of illimity regarding the Offer and, specifically, what we deem to be significant uncertainties and relevant risks relating to the business combination as currently proposed by Banca Ifis which does not recognise in a balanced manner the synergies and expected future value for the current shareholders of illimity. The Offer provides for a total consideration (of approximately EUR 300 million) equal to approximately 30% of illimity's shareholders equity as at 31 March 2025 (equal to approximately EUR 900 million).

In the light of the above, the following shareholders:

- **Alisei Forinvestments S.r.l.**, a company incorporated and existing under the laws of Italy, having its Register office in Monza, Via Cernuschi No. 6, Tax Code and VAT No. 10815020960 (holder of a stake equal to approximately 0.986% of the share capital),
- **AMC Metis S.à r.l.**, a company incorporated and existing under the laws of Luxembourg, having its Registered office at 12C rue Guillaume Kroll, L-1882, R.C.S. Luxembourg: B221624 (holder of a stake equal to approximately 6.303% of the share capital),
- **Buenafortuna Capital S.r.l.**, a company incorporated and existing under the laws of Italy, having its Register office in Monza, Via Cernuschi No. 6, Tax Code and VAT No. 10815010961 (holder of a stake equal to approximately 0.986% of the share capital),

(all the aforementioned shareholders jointly, the "**Shareholders**"), collectively holding a stake equal to approximately **27.2%** of the share capital of illimity, who, to the extent necessary, also sign this document pursuant to and for the purposes of the Article 122 of Italian Legislative Decree No. 58/1998 ("**TUF**"),

- **-** taking into account the information provided for by Notice 102,
- **-** having also considered the outcome of the Ordinary Shareholder's Meeting of illimity held on 29 April 2025,
- **-** having analysed and assessed the Offer Documentation,
- **-** based on the current terms and conditions of the Offer, as set out in the Offer Documentation,
- **-** having analysed and assessed the Issuer's Notice and considering the lack of information, the uncertainties and the risks reported therein to be particularly significant,

that, based on the terms and conditions of the Offer deemed at present unsatisfactory, they have agreed to consult with each other regarding the Offer, any developments thereof and any further communications and measures that may be taken in this regard, in order to protect the value of their investment and of illimity itself.

Each of the Shareholders also undertakes – from today's date and as long as there is no other shareholder who (alone or jointly with others) holds the majority of voting rights exercisable in the ordinary shareholders' meeting of illimity – not to acquire (directly or indirectly, including through entities acting in concert with it) additional illimity shares beyond those owned as of today, nor to enter into or execute any transaction, agreement or act that could trigger the application of the provisions of the TUF regarding mandatory public tender offers.

This consultation agreement has an indefinite duration; it is understood, however, that the aforementioned undertakings will cease to be effective in the event of termination or failure to complete the OPAS.
