The board of the Company hereby gives notice of the extraordinary general meeting on 11. June at 14.00 at the Company's main office at Grenseveien 21, Sandnes, Norway.

Agendaen er vedlagt som **Vedlegg 1.** The agenda is attached as **Appendix 1**.

Aksjonærene oppfordres til å avgi fullmakt eller stemme digitalt før møtet.

En aksjonær som ønsker å møte personlig på den ekstraordinære generalforsamlingen, bes vennligst om å informere om dette via epost til [legal@horisontenergi.com](mailto:legal@horisontenergi.com) senest 9 juni kl 12:00.

En aksjonær som ønsker å avgi stemme på generalforsamlingen kan også utøve sine aksjeeierrettigheter ved enten (1) forhåndsstemme eller (2) gi fullmakt som angitt i det følgende:

- (1) Forhåndsstemme til agendapunktene som fremkommer av **Vedlegg 1** kan avgis ved å logge på VPS Investortjenester (investor.vps.no).
- (2) Fullmakt kan gis til navngitt person som møter ved å fylle ut og signere **Vedlegg 3.**  Fullmakten bes skannet og sendt på epost til [legal@horisontenergi.com.](mailto:fab@horisontenergi.com.)

The shareholders are encouraged to grant proxys or to vote digitally prior to the meeting.

Any shareholder who wants be present in person at the extraordinary general meeting, is kindly requested to inform of this by e-mail to [legal@horisontenergi.com](mailto:fab@horisontenergi.com) at the latest on 9. June at 12.00.

Any shareholder that wishes to vote at the general meeting may exercise their shareholder rights through (1) advance vote or (2) by giving proxy as set out in the following:

- (1) Advance vote to the agenda items as listed in **Appendix 1** may be submitted by logging onto VPS Investor Services (investor.vps.no).
- (2) Proxy may be gratened to named person who will be present by completing and signing **Appendix 3.** The proxy is requested scanned and and sent by email to [legal@horisontenergi.com.](mailto:fab@horisontenergi.com.)

Forhåndsstemme eller fullmakt som angitt ovenfor må være registrert eller mottatt innen 3 Juni kl. 16:00.

Styret har i henhold til aksjeloven § 1-7 vedtatt at kommunikasjon med Selskapets aksjonærer skal skje elektronisk.

Selskapets vedtekter § 5 angir også at kommunikasjon med aksjonærene i utgangspunktet skal skje digitalt.

Ved henvendelse til Selskapet har enhver aksjeeier rett til å be om at dokumentasjon tilsendes kostnadsfritt per post.

Denne innkallingen med vedlegg er også lagt ut på samme side.

Kun de som er aksjeeiere i Selskapet fem virkedager før generalforsamlingen, dvs. 3 juni kl 16:00, (Registreringsdatoen), har rett til å delta og stemme på generalforsamlingen, jf. aksjeloven § 4-4 tredje ledd bokstav a jf. allmennaksjeloven § 5-2.

En aksjeeier som ønsker å delta og stemme på generalforsamlingen, må være innført i aksjeeierregisteret (VPS) på Registreringsdatoen eller ha meldt og godtgjort erverv per Registreringsdatoen. Aksjer som er ervervet etter Registreringsdatoen, gir ikke rett til å delta og stemme på generalforsamlingen.

Dersom aksjer er registrert i VPS på en forvalter jf. aksjeloven § 4-4 andre ledd jf. allmennaksjeloven § 4-10, blir denne innkallingen i henhold til allmennaksjeloven § 1-8 sendt til forvalteren, som deretter skal videreformidle den til den reelle aksjeeieren.

Dersom den reelle aksjeeieren ønsker å delta i generalforsamlingen, må den reelle aksjeeieren be forvalteren gi Selskapet melding om dette senest to virkedager før avholdelse av den ekstraordinære generalforsamlingen, 9 juni, 16:00. Det er ikke et krav om at aksjer må flyttes til en verdipapirkonto i eget navn for å ha stemmerett på generalforsamlingen.

According to section 1-7 of the Companies Act, the Board of Directors has resolved that communication with the Company's shareholders shall take place electronically.

The Company's Article of Association clause 5 also provide that communication with the shareholders shall generally be digital.

Upon request to the Company any shareholder is entitled to request that the documentation is sent free of charge by mail.

Only those who are shareholders in the Company five business days prior to the general meeting, i.e. on 3. June at 16:00 (the Record Date), are entitled to attend and vote at the general meeting, cf. Section 4-4 third paragraph letter a of the Companies Act cf. Section 5-2 of the Norwegian Public Limited Companies Act.

A shareholder who wishes to attend and vote at the general meeting must be registered in the shareholder register (VPS) at the Record Date or have reported and documented an acquisition as per the Record Date. Shares that are acquired after the Record Date do not entitle the holder to attend and vote at the general meeting.

If shares are held through a nominee in the VPS register, cf. section 4-4 second paragraph of the Companies Act cf. Section 4-10 of the Norwegian Public Limited Companies Act, this notice will in accordance with Section 1-8 of the Public Limited Companies Act, be sent to the nominee who shall pass on the notice to the beneficial owner.

If the beneficial owner wishes to attend the general meeting, the beneficial owner must ask the nominee to notify the Company of this no later than two business days prior to the date of the extraordinary general meeting, 9. June at 16:00. It is not a requirement to have shares transferred to a securities account in the beneficial owner's own name to vote at the general meeting.

# **REDEGJØRELSE FOR FORSLAG TIL VEDTAK I SAK 4 OG 5 I EKSTRAORDINÆR GENERALFORSAMLING I**

(org.nr. 923 377 476) («**Selskapet»**)

#### **Styrets vurdering:**

Selskapet har i hovedsak to store prosjekter som hver for seg er veldig omfattende; Barents Blue og Gismarvik CO2 hub («Gismarvik»). Styret vurderer det dithen at selskapet bør fokusere på et av disse prosjektene og at det andre prosjektet søkes overdratt til en aktør med ressurser og balanse til å ta prosjektet videre.

Etter styrets mening, vil Gismarvik være det prosjektet som er mest kompatibelt med selskapets nåværende struktur og størrelse. Det foreslås derfor overfor generalforsamlingen at Barents Blue spinnes av ved at alle aksjene i datterselskapet Horisont Ammoniakk AS deles ut til aksjonærene i Horisont Energi AS. Hver aksjonær vil motta en aksje i Horisont Ammoniakk AS for hver aksje man eier i Horisont Energi AS.

Horisont Ammoniakk AS anses være tilstrekkelig kapitalisert til å dekke løpende utgifter fram til og med september d.å. og Horisont Energi vil i denne perioden fortsatt levere tjenester til Horisont Ammoniakk basert på tidligere inngåtte servicekontrakt. Aktiv drift i egen regi utover slutten av september vil fordre ytterligere kapitaltilførsel og at Horisont Ammoniakk selv besørger den videre bemanning på Barents Blue prosjektet.

# **BACKGROUND FOR PROPOSED RESOLUTIONS IN AGENDA ITEMS 4 AND 5 IN THE EXTRAORDINARY GENERAL MEETING IN HORISONT ENERGI AS HORISONT ENERGI AS**

(reg. no. 923 377 476) (the «**Company»**)

#### **The Board's assessment:**

The company currently has two major projects, each of which is very extensive: Barents Blue and the Gismarvik CO₂ hub ("Gismarvik"). The Board is of the opinion that the company should focus on one of these projects and seek to transfer the other project to a party with the resources and financial capacity to take the project forward.

In the opinion of the Board, Gismarvik is the project that is most compatible with the company's current structure and size. It is therefore proposed to the General Meeting that Barents Blue be spun off by distributing all shares in the subsidiary Horisont Ammoniakk AS to the shareholders of Horisont Energi AS. Each shareholder will receive one share in Horisont Ammoniakk AS for each share they own in Horisont Energi AS.

Horisont Ammoniakk AS is considered sufficiently capitalized to cover ongoing expenses through the end of September this year. During this period, Horisont Energi will continue to provide services to Horisont Ammoniakk based on a previously signed service agreement. Any continued independent operations beyond the end of September will require additional capital injection and that Horisont Ammoniakk itself ensures further staffing of the Barents Blue project.

I perioden fram til slutten av september vil det også bli arbeidet aktivt med å inngå avtale med investorer som kan og vil ta Barents Blue prosjektet videre. Denne type aktiviteter er allerede igangsatt.

Når aksjene i Horisont Ammoniakk er distribuert til aksjonærene i Horisont Energi, vil det uten ugrunnet opphold bli innkalt til generalforsamling i Horisont Ammoniakk for valg av nytt styre i sistnevnte selskap.

Styret foreslår også en kontantutdeling på 50 øre per aksje i Horisont Energi. Det vil være opp til selskapets aksjonærer selv å velge om man eventuelt vil reinvestere utdelte midler i Barents Blue, Horisont Energi eller anvende disse for andre formål.

In the period leading up to the end of September, active efforts will also be made to enter into an agreement with investors who have the capacity and willingness to take the Barents Blue project forward. Such activities have already been initiated.

Once the shares in Horisont Ammoniakk have been distributed to the shareholders of Horisont Energi, a General Meeting in Horisont Ammoniakk will be convened without undue delay to elect a new Board of Directors in the latter company.

The Board also proposes a cash distribution of NOK 0.50 per share in Horisont Energi. It will be up to the company's shareholders to decide whether they wish to reinvest the distributed funds in Barents Blue, in Horisont Energi, or use them for other purposes.

Dersom forslag blir mottatt fra gulvet i tillegg til eller i stedet for forslagene i innkallingen, kan fullmektigen stemme eller avstå fra å stemme etter eget skjønn. I så fall vil fullmektigen stemme på grunnlag av hans/hennes fornuftige forståelse av forslaget. Det samme gjelder dersom det er tvil om hvordan stemmeinstruksen er å forstå. Der en ikke kan komme fram til noen fornuftig forståelse av forslaget, kan fullmektigen avstå fra å stemme.

### **PROXY (AUTHORISATION)**

Minor amendments to the proposed resolutions are considered to be covered by this proxy.

If there is no "X" for one or more of the items in the table below, this will be deemed to be an instruction to vote "FOR" that item. However, if any motions are received from the floor in addition to or in lieu of the proposals in the notice, the proxy holder may vote or abstain from voting at his discretion. In that case, the proxy holder will vote on the basis of his reasonable understanding of the motion. The same applies if there is any doubt as to the intepretation of voting instructions. Where no such reasonable understanding of the motion can be formed, the proxy holder may abstain from voting.
