(the "Company")

held on 27 May 2025 at 10:00 (CET) as a fully digital meeting via LUMI AGM.

According to the notice of annual general meeting from the Board of Directors, the meeting had the following

*1 Opening of the meeting by the Chair of the Board, Vegard Sævik, and registration of the attending shareholders*

- *2 Election of chair of the meeting and one person to co-sign the minutes*
- *3 Approval of the notice and the proposed agenda*

## **1 ÅPNING AV MØTET VED STYRETS LEDER VEGARD SÆVIK OG OPPTAK AV FORTEGNELSE OVER MØTENDE AKSJEEIERE**

Styreleder Vegard Sævik åpnet møtet og opptok fortegnelse over møtende aksjeeiere.

Fortegnelsen over aksjer og stemmer representert er vedlagt denne protokollen som Vedlegg 1.

**2 VALG AV MØTELEDER OG MINST ÉN PERSON TIL Å MEDUNDERTEGNE PROTOKOLLEN**

Generalforsamlingen fattet følgende beslutning:

*"Styrets leder Vegard Sævik velges til møteleder.*

*7 Approval of the auditor's fee*

*11 Proposal to authorise the Board of Directors to increase the share capital through new subscription for shares*

**1 OPENING OF THE MEETING BY THE CHAIR OF THE BOARD, VEGARD SÆVIK, AND REGISTRATION OF THE ATTENDING SHAREHOLDERS**

The Chair of the Board, Vegard Sævik, opened the meeting and registered the participating shareholders.

The register of shares and votes represented is attached to these minutes, cf. Appendix 1.

**2 ELECTION OF A CHAIR OF THE MEETING AND ONE PERSON TO CO-SIGN THE MINUTES**

The general meeting made the following resolution:

*"The Chair of the Board Vegard Sævik is elected as Chair of the Meeting.*

*Gunnar Larsen velges til å medundertegne protokollen."*

Beslutningen ble vedtatt med tilstrekkelig flertall, jfr. stemmerettsresultatet inntatt i Vedlegg 2.

### **3 GODKJENNELSE AV INNKALLING OG FORSLAG TIL DAGSORDEN**

Generalforsamlingen fattet følgende beslutning:

*"Innkalling og dagsorden godkjennes." "The notice and agenda is approved."*

Beslutningen ble vedtatt med tilstrekkelig flertall, jfr. stemmerettsresultatet inntatt i Vedlegg 2.

**4 GODKJENNELSE AV ÅRSREGNSKAPET FOR 2024, HERUNDER KONSERNREGNSKAP OG DISPONERING AV ÅRSRESULTAT**

Styreleder redegjorde for det fremlagte årsregnskapet, samt revisors beretning.

Styrets forslag til disponering av årsresultatet var som følger:

### **3 APPROVAL OF THE NOTICE AND THE PROPOSED AGENDA**

The general meeting made the following resolution:

**4 APPROVAL OF THE ANNUAL ACCOUNTS FOR 2024, INCLUDING THE CONSOLIDATED ACCOUNTS AND THE DISPOSAL OF THE ANNUAL RESULTS**

The Chair of the Board presented the Board's proposal for the annual accounts, including the audit report.

The Board's proposed disposal of the annual result were as follows:

In accordance with the Board's proposal, the general meeting made the following resolution:

Vedtatt med tilstrekkelig flertall, jfr. stemmerettsresultatet inntatt i Vedlegg 2.

**5 FASTSETTELSE AV GODTGJØRELSE TIL STYRETS MEDLEMMER**

Styreleder redegjorde for styrets arbeid og fremla Valgkomiteens forslag til godtgjørelse for 2024.

I samsvar med Valgkomiteens forslag fattet generalforsamlingen følgende vedtak:

*"Godtgjørelse til styrets medlemmer for regnskapsåret 2024 fastsettes slik:*

*Vegard Sævik, styrets leder, NOK 410 000,- Vibeke Fængsrud, styremedlem, NOK 150 000,- Hege Sævik Rabben, styremedlem, NOK 150 000,- Helge Simonnes, styremedlem, NOK 160 000,- Monica Gjerde Sperre, styremedlem, NOK 150 000,- Katrine Lynge, styremedlem ansatterepresentant, NOK 150 000,- Thor-Lennart Solevåg, styremedlem ansatterepresentant, NOK 37 500,-*

*'The annual accounts and the annual report for 2024, including the consolidated accounts and the disposal of the annual results, are approved.*

Approved with the requisite majority, cf. the voting results enclosed hereto in Appendix 2.

**5 ADOPTION OF THE REMUNERATION OF MEMBERS OF THE BOARD OF DIRECTORS**

The Chair of the Board gave an account of the Board's work, and presented the Nomination Committee's proposal for remuneration for 2024.

In accordance with the Nomination Committee's proposal, the general meeting made the following resolution:

*'The remuneration of the members of the Board of Directors for the 2024 financial year is as follows:*

*Vegard Sævik, Chair of the Board, NOK 410,000 Vibeke Fængsrud, board member, NOK 150,000 Hege Sævik Rabben, board member, NOK 150,000 Helge Simonnes, board member, NOK 160,000 Monica Gjerde Sperre, board member, NOK 150,000 Katrine Lynge, board member employee representative, NOK 150,000 Thor-Lennart Solevåg, board member employee representative, NOK 37,500*

*Egil Bremnes, avgått styremedlem (ansatterepresentant), NOK 112 500,-*

*Det skal ikke utbetales godtgjørelse til styrets varamedlemmer for regnskapsåret 2024."*

Beslutningen ble vedtatt med tilstrekkelig flertall, jfr. stemmerettsresultatet inntatt i Vedlegg 2.

*No remuneration shall be paid to the Board's deputy members for the financial year 2024.'*

# **6 FASTSETTELSE AV GODTGJØRELSE TIL VALGKOMITEENS MEDLEMMER**

Styreleder redegjorde for Valgkomiteens forslag.

I samsvar med Valgkomiteens forslag fattet generalforsamlingen følgende vedtak:

*"Godtgjørelse til Valgkomiteens medlemmer settes til NOK 10.000,- til hvert medlem."*

### **7 GODKJENNELSE AV GODTGJØRELSE TIL REVISOR**

Styrets leder forela Revisjonsutvalgets uttalelse om godtgjørelse til revisor for 2024, og orienterte om revisors godtgjørelse fordelt på revisjon og andre tjenester.

Generalforsamlingen fattet følgende beslutning:

*"Godtgjørelse til revisor for 2024 godkjennes etter regning."*

Beslutningen ble vedtatt med tilstrekkelig flertall, jfr. stemmerettsresultatet inntatt i Vedlegg 2.

### **6 ADOPTION OF THE REMUNERATION OF MEMBERS OF THE NOMINATION COMMITTEE**

The Chair of the Board presented the Nomination Committee's proposal.

In accordance with the Nomination Committee's proposal, the general meeting made the following resolution:

*'The remuneration of the members of the Nomination Committee is NOK 10,000 for each member.'*

# **7 APPROVAL OF THE AUDITOR'S FEE**

The Chair of the Board presented the Audit Committee's statement concerning the auditor's fee for 2024 and oriented on the auditor's fee for auditing and other services.

The general meeting made the following resolution:

*'The auditor's fee for 2024 is approved based on the hours invoiced.'* 

The resolution was approved with the requisite majority, cf. the voting results enclosed hereto in Appendix 2.

Møteleder redegjorde for Valgkomiteens innstilling.

I samsvar med Valgkomiteens forslag fattet generalforsamlingen følgende vedtak:

*"Styremedlemmer som står på valg, herunder Vegard Sævik (styreleder), Hege Sævik Rabben, Vibeke Fængsrud og Helge Simonnes, gjenvelges.*

*Linda Rudolfsen Myklebust velges som nytt uavhengig styremedlem for Monica Gjerde Sperre."*

Beslutningen ble vedtatt med tilstrekkelig flertall, jfr. stemmerettsresultatet inntatt i Vedlegg 2.

**9 FORSLAG OM STYREFULLMAKT TIL ERVERV AV SELSKAPETS EGNE AKSJER I FORBINDELSE MED AKSJEKJØPS PROGRM**

Møteleder redegjorde for styrets forslag til vedtak.

Styret foreslo at generalforsamlingen gir styret fullmakt til å erverve egne aksjer innenfor allmennaksjelovens grenser. Formålet med slik fullmakt vil være å gi Selskapet mulighet til å erverve aksjer i situasjoner hvor dette vil være i Selskapets interesse, herunder for å sikre tilstrekkelig dekning av aksjer under Selskapets aksjekjøpsprogram for ansatte.

### **8 STYREVALG 8 ELECTION TO THE BOARD OF DIRECTORS**

The Chair of the Meeting presented the Nomination Committee's recommendations.

In accordance with the Nomination Committee's proposal, the general meeting made the following resolution:

*'Board members up for election, including Vegard Sævik (Chairman), Hege Sævik Rabben, Vibeke Fængsrud and Helge Simonnes, are re-elected.*

*Linda Rudolfsen Myklebust is elected as new independent Board member for Monica Gjerde Sperre.'*

The resolution was approved with the requisite majority, cf. the voting results enclosed hereto in Appendix 2.

**9 PROPOSAL TO AUTHORISE THE BOARD OF DIRECTORS TO AQUIRE THE COMPANY'S OWN SHARES IN CONNECTION WITH SHARE PURCHASE PROGRAMME**

The Chair of the Meeting presented the Board's proposal for resolution.

The Board proposes that the general meeting authorises the board to acquire own shares within the limits of the Public Limited Liability Companies Act. The purpose of such authorisation will be to give the Company the opportunity to acquire shares in situations where this will be in the Company's interest, including securing

- *1. Styret gis fullmakt til å erverve Selskapets egne aksjer i Selskapets navn i forbindelse med gjennomføring av aksjekjøpsprogram for ansatte i Selskapet.*
- *2. Fullmakten skal gi styret mulighet til å erverve egne aksjer med samlet pålydende verdi på inntil NOK 3 500 000,- fordelt på 3 500 000 aksjer (tilsvarende 10% av eksisterende aksjekapital), hver aksje pålydende NOK 1. Selskapet kan bare erverve egne aksjer forutsatt at samlede pålydende verdi av beholdningen av egne aksjer etter ervervet ikke overstiger 10 % av Selskapets til enhver tid gjeldende aksjekapital, og at samlet kjøpesum for aksjene ikke overstiger rammen av de midler Selskapet kan benytte til utdeling av utbytte etter allmennaksjeloven § 8-1.*
- *3. Ved erverv skal prisen per aksje være minimum NOK 1,- og maksimum NOK 50,-. Styret skal primært søke å gjennomføre tilbakekjøp av egne aksjer som markedstransaksjoner til markedskurs, men dette kan fravikes innenfor gjeldende børs- og verdipapirrettslige regler.*

*'The Board of Directors is authorised to acquire the Company's own shares on the following conditions:* 

- *1. The Board of Directors is authorised to acquire the Company's own shares in the Company's name in connection with the implementation of the share purchase programme for employees of the Company.*
- *2. The authorisation is intended to enable the Board to acquire own shares with a total nominal value of up to NOK 3,500,000 divided between 3,500,000 shares (equivalent to 10% of the existing share capital), each share with a nominal value of NOK 1. The Company may only acquire shares if the total nominal value of the holding of own shares after the acquisition does not exceed 10% of the Company's share capital at all times, and the total purchase price of the shares does not exceed the limit on assets the Company can use to distribute dividend pursuant to the Public Limited Liability Companies Act Section 8-1.*
- *3. On acquisition, the price per share shall be minimum NOK 1 and maximum NOK 50. The Board shall primarily endeavour to carry out the repurchase of own shares as market transactions at market price, but this can be deviated from within the bounds of stock exchange and securities law.*
- *4. Within the limits of the equal treatment principle in securities trading and*

*aksjelovgivningens likebehandlingsprinsipp, jfr. allmennaksjeloven § 6-28 (1) og verdipapirhandelloven § 5-14, på hvilke måter egne aksjer kan erverves eller avhendes.* 

- *5. Fullmakten skal gjelde frem til ordinær generalforsamling i 2026, likevel senest til 30. juni 2026.*

- *7. Denne fullmakten skal snarest mulig etter generalforsamlingen registreres i Foretaksregisteret, og kan ikke benyttes til erverv av aksjer før fullmakten er registrert."*

Beslutningen ble vedtatt med tilstrekkelig flertall, jfr. stemmerettsresultatet inntatt i Vedlegg 2.

### **10 FORSLAG OM STYREFULLMAKT TIL ØVRIG ERVERV AV SELSKAPETS EGNE AKSJER**

Møteleder redegjorde for styrets forslag til vedtak.

Styret foreslo at generalforsamlingen gir styret fullmakt til å erverve egne aksjer innenfor allmennaksjelovens grenser. Formålet med slik fullmakt vil være å gi Selskapet mulighet til å erverve egne aksjer til bruk i situasjoner hvor dette etter styrets oppfatning vil være i Selskapets interesse,

*company law, cf. the Public Limited Liability Companies Act S. 6-28 (1) and the Securities Trading Act S. 5-14, the Board shall decide how own shares can be acquired or sold.* 

- *5. The authorisation applies until the annual general meeting in 2026, no later, however, than until 30 June 2026.*
- *6. The authorization replaces the previous authorization to acquire the company's own shares in connection with acquisitions, adopted by the annual general meeting 2024.*
- *7. As soon as possible after the general meeting, this authorisation shall be registered in the Register of Business Enterprises, and it cannot be used to acquire shares until it has been registered.'*

The resolution was approved with the requisite majority, cf. the voting results enclosed hereto in Appendix 2.

### **10 PROPOSAL TO AUTHORISE THE BOARD OF DIRECTORS TO OTHERWISE AQUIRE THE COMPANY'S OWN SHARES**

The Chair of the Meeting presented the Board's proposal for resolution.

The Board proposes that the general meeting authorise the Board to acquire own shares within the limits of the Public Limited Liability Companies Act. The purpose of such authorisation will be to give the Company the opportunity to acquire shares to be used as the board considers to be in the

In accordance with the Board's proposal, the general meeting made the following resolution:

*'The Board of Directors is authorised to acquire the Company's own shares on the following conditions:*

The Board of Directors is authorised to acquire the Company's own shares in the Company and dispose over such shares in such manner as the Board considers to be in the Company's interest, including, without limitation, in connection with the implementation of mergers and acquisitions within the sectors in which the Company operates.*
- *2. The authorisation is intended to enable the Board to acquire own shares with a total nominal value of up to NOK 3,500,000 divided between 3,500,000 shares (equivalent to 10% of the existing share capital), each share with a nominal value of NOK 1. The Company may only acquire own shares if the total nominal value of the holding of own shares after the acquisition does not exceed 10% of the Company's share capital at all times, and the total purchase price of the shares does not exceed the limit on assets the Company can use to distribute dividend pursuant to the Public Limited Liability Companies Act Section 8-1.*

Beslutningen ble vedtatt med tilstrekkelig flertall, jfr. stemmerettsresultatet inntatt i Vedlegg 2.

**11 FORSLAG OM STYREFULLMAKT TIL FORHØYELSE AV AKSJEKAPITALEN VED NYTEGNING AV AKSJER**

Styreleder redegjorde for styrets forslag til vedtak.

For å gi styret nødvendig fleksibilitet til å kunne utnytte strategiske

forretningsmuligheter, anser styret det som hensiktsmessig at generalforsamlingen gir styret en generell fullmakt til å gjennomføre *from within the bounds of stock exchange and securities law.* 

- *4. Within the limits of the equal treatment principle in securities trading and company law, cf. the Public Limited Liability Companies Act S. 6-28 (1) and the Securities Trading Act S. 5-14, the Board shall decide how own shares can be acquired or sold.*
- *5. The authorisation applies until the annual general meeting in 2026, no later, however, than until 30 June 2026.*
- *6. The authorization replaces the previous authorization to acquire the company's own shares in connection with acquisitions, adopted by the annual general meeting 2024.*

**11 PROPOSAL TO AUTHORISE THE BOARD OF DIRECTORS TO INCREASE THE SHARE CAPITAL THROUGH NEW SUBSCRIPTION OF SHARES**

The Chair of the Board presented the Board's proposal for resolution.

In order to ensure that the Board has the flexibility necessary for it to be able to take advantage of strategic business opportunities, the Board finds it expedient that the general meeting grants the Board a general

I samsvar med styrets forslag fattet generalforsamlingen følgende vedtak:

*"Styret tildeles fullmakt til å forhøye Selskapets aksjekapital ved nytegning av aksjer på følgende vilkår:* 

- *1. Aksjekapitalen kan, i en eller flere omganger, i alt forhøyes med inntil NOK 3.500.000,- ved utstedelse av inntil 3 500 000 nye aksjer i Selskapet (tilsvarende 10% av eksisterende aksjekapital), hver aksje pålydende NOK 1. Tegningskurs og andre vilkår fastsettes av styret.*
- *2. Styret gis fullmakt til å endre Selskapets vedtekter for å reflektere ny aksjekapital i Selskapet etter bruk av fullmakten.*
- *3. Aksjeeiernes fortrinnsrett til tegning av aksjer etter allmennaksjeloven § 10-4 kan settes til side.*
- *4. Fullmakten kan benyttes til generelle forretningsmessige formål, herunder men ikke begrenset til finansiering og oppkjøp av andre selskaper, inkludert utstedelse av vederlagsaksjer i forbindelse med ovennevnte transaksjoner. Fullmakten omfatter beslutning om fusjon, jfr. allmennaksjeloven § 13-5.*

authorisation to carry out capital increases. In the Board's view, it will be an advantage for the Company if the Board is so authorised as a means of ensuring the further development of the Company.

In accordance with the Board's proposal, the general meeting made the following resolution:

*'The Board of Directors is authorised to increase the Company's share capital through new subscription for shares on the following conditions:*

- *1. The share capital may be increased in one or more rounds by a total of NOK 3,500,000.- through the issuing of up to 3,500,000 new shares in the Company (equivalent to 10% of the existing share capital), each share with a nominal value of NOK 1. The subscription price and other conditions will be stipulated by the Board of Directors.*
- *2. The Board of Directors is authorised to amend the Company's Articles of Association in order to reflect the Company's new share capital after the authorisation has been utilised.*
- *3. The shareholders' right of pre-emption to subscribe for shares pursuant to the Public Limited Liability Companies Act Section 10-4 may be set aside.*
- *4. The authorisation may be used for general commercial purposes, including, but not limited to, the financing and acquisitions of other companies, including the issuing of considerations in shares in connection with the above-mentioned transactions. The authorisation includes decisions on mergers, cf. the Public Limited Liability Companies Act Section 13-5.*

- *5. Fullmakten omfatter kapitalforhøyelse mot kontant betaling samt innskudd i andre eiendeler enn penger eller rett til å pådra Selskapet særlige plikter.*
- *6. De nye aksjene skal tilhøre tilsvarende aksjeklasse som Selskapets eksisterende aksjer.*
- *7. Ved aksjesplitt eller aksjespleis skal fullmakten, inklusive antall aksjer og pålydende justeres tilsvarende for å reflektere slik aksjesplitt eller aksjespleis.*
- *8. Fullmakten skal gjelde frem til neste ordinære generalforsamling i 2026, dog ikke senere enn 30. juni 2026.*
- *9. Fullmakten erstatter den tidligere fullmakt for utstedelse av aksjer, vedtatt i ordinær generalforsamling 2024.*
- *10. Denne fullmakten skal snarest mulig etter generalforsamlingen registreres i Foretaksregisteret, og kan ikke benyttes til forhøyelse av aksjekapitalen ved nytegning av aksjer før fullmakten er registrert.*

Beslutningen ble vedtatt med tilstrekkelig flertall, jfr. stemmerettsresultatet inntatt i Vedlegg 2.

*5. The authorisation includes capital increases in return for cash payment and contributions in the form of assets other than money or the right to commit the Company to special obligations.*

- *6. The new shares shall belong to the corresponding class of shares as the Company's existing shares.*
- *7. In the event of a share split or reverse split, the authorisation, including the number of shares and their nominal value, shall be adjusted correspondingly in order to reflect the share split or reverse split.*
- *8. The authorisation is valid until the next annual general meeting in 2026, no longer, however, than until 30 June 2026.*
- *9. The authorisation replaces the previous authorisation for the issuing of shares, adopted by the annual general meeting 2024.*
- *10. As soon as possible after the general meeting, this authorisation shall be registered in the Register of Business Enterprises, and it cannot be used to increase the share capital until the authorisation has been registered.'*

The resolution was approved with the requisite majority, cf. the voting results enclosed hereto in Appendix 2.
