## **SOLIDWORLD GROUP: STIPULATO L'ATTO DI FUSIONE PER INCORPORAZIONE DI VALORE BF 3D S.R.L. IN SOLIDWORLD GROUP S.P.A.**

*Treviso, 25 marzo 2025* – **SolidWorld Group S.p.A.**, società quotata sul mercato Euronext Growth Milan (ticker S3D) e capofila di un gruppo leader nei settori delle tecnologie industriali di design e stampa 3D, della bio-fabbricazione 3D e delle linee di produzione di macchinari per la fabbricazione di pannelli fotovoltaici di ultima generazione, facendo seguito ai comunicati stampa del 4 dicembre 2024, 5 dicembre 2024, 14 dicembre 2024, 16 dicembre 2024 e 18 dicembre 2024, rende noto che, in data odierna, è stato stipulato a rogito del Notaio Fabio Cosenza l'Atto di fusione per incorporazione della società interamente controllata Valore BF 3D S.r.l. (la "Società Incorporata") in SolidWorld Group S.p.A. (di seguito la "Fusione").

Si ricorda che la Fusione era stata deliberata in seduta notarile dal Consiglio di Amministrazione della Società (ai sensi degli artt. 2502 e 2505 del cod. civ. e art. 24.2 del vigente statuto sociale) e dall'assemblea della Società Incorporata in data 16 dicembre 2024 e si inquadra nel più ampio processo di riorganizzazione societaria del gruppo facente capo alla Società, volto a semplificarne la struttura e a valorizzarne le sinergie operative, amministrative e societarie.

Per effetto della Fusione, la Società Incorporata si estingue e SolidWorld Group subentra di diritto nel patrimonio attivo e passivo della Società Incorporata, assumendo i diritti e gli obblighi della stessa e proseguendo in tutti i suoi rapporti, anche processuali, anteriori alla Fusione.

Gli effetti giuridici della Fusione decorreranno, ai sensi dell'art. 2504-bis, comma 2, codice civile e come previsto nell'Atto di fusione, dalle ore 00.00 del giorno 1 aprile 2025 e, come comunicato in precedenza, ai sensi dell'art. 2501 ter, comma 1, n. 6, del codice civile, gli effetti contabili e fiscali della Fusione avranno decorrenza dal giorno 1 gennaio 2025, data non anteriore a quella in cui si chiude l'esercizio di ciascuna delle società partecipanti alla Fusione.

In considerazione della natura "semplificata" della Fusione, il capitale sociale della Società Incorporante rimarrà invariato e la fusione avrà luogo mediante annullamento di tutte le azioni costituenti il capitale della Società Incorporata. Ai sensi dell'art. 2505, comma 1, cod. civ., non si fa luogo ad alcun rapporto di cambio e si prescinde, altresì, dal determinare le modalità di assegnazione delle azioni della Società Incorporante e la decorrenza della partecipazione agli utili delle azioni. Inoltre, la Società Incorporante a seguito della Fusione non modificherà il proprio statuto sociale.

L'Atto di fusione sarà depositato per l'iscrizione presso i competenti Registri delle Imprese entro la data di decorrenza degli effetti giuridici sopra indicata.

## **SOLIDWORLD GROUP: DEED OF MERGER BY INCORPORATION OF VALORE BF 3D S.R.L. INTO SOLIDWORLD GROUP S.P.A. EXECUTED**

**Treviso, March 25, 2025** – *SolidWorld Group S.p.A.*, a company listed on the Euronext Growth Milan market (ticker: S3D) and parent of a leading group in the fields of industrial 3D design and printing technologies, 3D bio-fabrication, and production lines for the manufacture of next-generation photovoltaic panels, following the press releases dated December 4, 2024, December 5, 2024, December 14, 2024, December 16, 2024, and December 18, 2024, announces that today the Deed of Merger by incorporation of its wholly owned subsidiary *Valore BF 3D S.r.l.* (the "Merged Company") into *SolidWorld Group S.p.A.* (hereinafter referred to as the "Merger") was executed before Notary Fabio Cosenza.

It is recalled that the Merger was approved in a notarial meeting by the Board of Directors of the Company (pursuant to Articles 2502 and 2505 of the Italian Civil Code and Article 24.2 of the current bylaws), as well as by the shareholders' meeting of the Merged Company on December 16, 2024. The Merger is part of a broader corporate reorganization process of the group headed by the Company, aimed at simplifying the corporate structure and enhancing operational, administrative, and corporate synergies.

As a result of the Merger, the Merged Company will cease to exist and SolidWorld Group will assume all assets and liabilities of the Merged Company by law, acquiring its rights and obligations and continuing all its legal relationships, including those in progress prior to the Merger.

The legal effects of the Merger will take effect, pursuant to Article 2504-bis, paragraph 2 of the Italian Civil Code and as provided in the Merger Deed, from 00:00 on April 1, 2025. As previously announced, in accordance with Article 2501-ter, paragraph 1, no. 6 of the Italian Civil Code, the accounting and tax effects of the Merger will be effective as of January 1, 2025, a date not earlier than the closing of the financial year of each of the companies involved in the Merger.

Given the "simplified" nature of the Merger, the share capital of the Incorporating Company will remain unchanged and the Merger will occur through the cancellation of all shares constituting the capital of the Merged Company. Pursuant to Article 2505, paragraph 1 of the Italian Civil Code, no share exchange ratio will be applied, and no methods for the allocation of shares in the Incorporating Company or their entitlement to profits will be determined. Furthermore, the Incorporating Company will not amend its bylaws following the Merger.

The Merger Deed will be filed for registration with the competent Companies Register by the date on which the aforementioned legal effects will take place.
