Sesa ("SESA" – SES.MI), operatore di riferimento nel settore Digital Technology, System Integration e Business Application per il segmento business, con circa Eu 3,2 miliardi di ricavi consolidati e 5.700 dipendenti nell'esercizio al 30 aprile 2024, ha acquisito attraverso Var Group S.p.A. (controllata totalitaria di Sesa) una partecipazione pari al 60% del capitale di InnoFour B.V. ("InnoFour"), che si integrerà progressivamente nella Business Unit Var Industries, rafforzando così competenze e soluzioni software per il settore engineering sul mercato europeo. L'operazione consente a Var Group di estendere la propria presenza nel Benelux e Scandinavia, confermando la strategia di internazionalizzazione a supporto della digitalizzazione delle imprese.

InnoFour, costituita nel 2008 con sede ad Almelo (Olanda) ed attività operative a Stoccolma, Lund (Svezia) e Stravanger (Norvegia), è specializzata in soluzioni software per la progettazione elettronica (EDA), la simulazione e la progettazione ingegneristica (*Computer-Aided Engineering*, CAE), nonché servizi ingegneristici nel campo dei *Computational Fluid Dynamics* (CFD) e dei software di gestione del ciclo di vita delle applicazioni (*Application Lifecycle Management*, ALM), con un customer set di clienti enterprise engineering, operanti nel settore dell'elettronica, ingegneria aerospaziale e navale, difesa, automotive ed automazione.

La società, con ricavi nell'esercizio 2024 pari a circa Eu 6 milioni, un Ebitda margin di circa il 10% e 15 risorse specializzate, è partner di Siemens PLM Software e sviluppa soluzioni software per l'ingegneria su piattaforme Siemens Digital Industries Software. InnoFour, combinando software *Computer-Aided Engineering* professionali e servizi di progettazione e consulenza, opera con un customer set di circa 250 clienti enterprise internazionali engineering intensive con sede in Belgio, Olanda, Lussemburgo, Svezia, Norvegia, Danimarca e Islanda.

Grazie a questa operazione il Gruppo Sesa continua ad espandere le proprie competenze e soluzioni in ambito digitale per il settore engineering in primari mercati europei contraddistinti da un tessuto di imprese manifatturiere orientate alla Digital Transformation.

Var Group, integrerà InnoFour nella propria BU Var Industries, costituita nel 2017 con l'acquisizione di Tech Value S.p.A., ed arricchita con le successive integrazioni nel febbraio 2019 di PBU CAD-Systeme GmbH e nel maggio 2021 di Cadlog Group S.r.l., con ricavi annuali per circa Eu 65 milioni, di cui il 50% sui mercati esteri, con circa 200 risorse umane specializzate.

L'acquisizione è stata realizzata sulla base di criteri di valutazione coerenti con quelli generalmente adottati dal Gruppo Sesa in applicazione di un criterio di 5 volte l'Ebitda medio normale della società target. I soci fondatori e Managing Partner di Innofour Peter Bakker, Jaap Schuurman, Rick Stroot e Bas Hassink continueranno ad essere coinvolti nella gestione con equity commitment ed obiettivi sviluppo sostenibile del business e di integrazione nella BU Var Industries.

Sesa ("SESA" – SES.MI), reference player in Digital Technology, System Integration and Business Application for the business segment, with about Eu 3.2 billion consolidated revenues and 5,700 employees as of April 30, 2024, has acquired through Var Group S.p.A. (Sesa wholly owned subsidiary) the 60% stake of InnoFour B.V. ("InnoFour"), that will be progressively integrated in the Var Industries Business Unit, strengthening skills and software solutions for engineering sector in the European market. This operation enables Var Group to expand its presence in the Benelux and Scandinavia, reinforcing its internationalization strategy to support business digitalization.

InnoFour, established in 2008 and based in Almelo (Netherlands) and operations in Stockholm, Lund (Sweden) and Stavanger (Norway), is focused on *Electronic Design Automation* (EDA) and simulation software solutions, Computer Aided Engineering (CAE) software solutions, as well as engineering services of *Computational Fluid Dynamics* (CFD) calculations and Application Lifecycle Management (ALM) software solutions, with an engineering enterprise customer set operating in electronics, aerospace & shipbuilding, defence, automotive and automation.

The company, with revenues in the Fiscal Year 2024 of about Eu 6 million, an Ebitda Margin of about 10% and a team of 15 skilled resources, is a partner of Siemens PLM Software and develops engineering software solutions on Siemens Digital Industries Software platforms. InnoFour, combining specialized *Computer-Aided Engineering* software with design and consulting services, operates with a customer set of about 250 international engineering-intensive enterprise customers based in Belgium, Netherlands, Luxemburg, Sweden, Norway, Denmark and Iceland.

Thanks to the business combination, Sesa Group expands its skills and digital solutions in engineering sector in leading European markets characterized by manufacturing companies oriented towards Digital Transformation.

InnoFour will be integrated in the Var Industries Business Unit of Var Group, established in 2017 with the acquisition of Tech Value S.p.A., and developed thanks to the following acquisitions of PBU CAD-Systeme GmbH in February 2019 and Cadlog Group S.r.l. in May 2021, with annual revenues of approximately Eu 65 million, of which 50% abroad, with about 200 skilled human resources.

The acquisition has been closed on evaluation criteria in line with those usually adopted by Sesa Group, with an Enterprise Value in application of a 5x Ebitda multiplier of the target company. InnoFour Managing Partners and Founders Peter Bakker, Jaap Schuurman, Rick Stroot and Bas Hassink will continue to be operatively involved through equity commitment mechanisms, targeting sustainable business development and integration in Var Industries BU.
