**Il Gruppo si espande ancora all'estero e punta sul settore dei Data Center, in cui l'azienda di ingegneria spagnola è fortemente specializzata**

*VILLORBA (Treviso), 30 gennaio 2025* - DBA Group S.p.A., società quotata sul mercato Euronext Growth Milan di Borsa Italiana e fra le principali realtà in Italia di consulenza tecnica, ingegneria, project management e soluzioni ICT per la gestione del ciclo di vita di opere e infrastrutture a rete mission-critical, comunica che in data odierna ha perfezionato l'acquisto del 60% delle quote dell'azienda di ingegneria Proyectos IFG, con sede a Las Rozas de Madrid in Spagna. L'operazione è stata realizzata attraverso la società operativa DBA PRO. S.p.A., interamente controllata da DBA Group S.p.A.

## **La strategia di crescita alla base dell'operazione**

Con quest'operazione, DBA Group intende dare attuazione a quanto previsto dal Piano Industriale 2023-2026, che prevede una componente di crescita dei ricavi non organica, di cui una parte proveniente da acquisizioni da effettuare sul mercato europeo. Per dare concretezza alla strategia delineata DBA ha deciso di puntare sulla Spagna, dopo aver valutato attentamente i parametri macroeconomici di crescita del paese e dopo aver effettuato studi di mercato specialistici che hanno confermato dinamiche positive simili a quelle italiane nel campo dei Data Center e delle energie rinnovabili.

Grazie a detti studi di mercato ed alla conoscenza diretta del mercato dei Data Center, DBA ha individuato nella società di ingegneria Projectos IFG dei Fratelli Alberto ed Ignacio Fernandez Guerra il partner per affrontare insieme lo sviluppo del business nella penisola Iberica.

## **Chi è Proyectos IFG**

Proyectos IFG è un'azienda di ingegneria specializzata in progetti integrati di Data Center di varia taglia di potenza fino a compredere Campus Data Center ed Hyperscale.

La società dispone di un team multidisciplinare composto da esperti ingegneri di diverse aree, architetti e progettisti (BIM 3D) in grado di sviluppare qualsiasi tipo di progetto e di integrarsi in progetti congiunti dove partecipano installatori o costruttori ed opera su tutto il territorio nazionale spagnolo.

La sua missione è offrire al mercato servizi di ingegneria ad alto valore aggiunto e di eccellente qualità, proponendo soluzioni tecniche innovative ed efficaci per soddisfare pienamente i suoi clienti e di stabilire con loro una relazione a lungo termine.

Le competenze altamente specializzate di DBA PRO. S.p.A. e di Proyectos IFG risultano essere sinergiche e complementari e in grado di offrire un alto valore aggiunto ai clienti del gruppo.

## **Key Financials dell'acquisizione**

Proyectos IFG nel 2023 ha registrato un valore della produzione pari ad Euro 3.92 milioni e un EBITDA pari ad Euro 742 mila. L'utile netto dell'esercizio 2023 è stato pari ad Euro 489 mila.

Il patrimonio netto di Proyectos IFG al 31 dicembre 2023 ammonta ad Euro 1.691 mila, con una posizione finanziaria netta pari ad Euro 542 mila (eccesso di cassa).

I dati pre-consuntivi del 2024 riportano un valore della produzione di circa Euro 4.71 milioni e un EBITDA di circa Euro 0,84 milioni e saranno definiti con precisione nei documenti di bilancio.

L'Entreprise Value di IFG è pari ad Euro 4,7 milioni. Il corrispettivo provvisorio, soggetto ad aggiustmento prezzo al closing, per il 60% delle quote è pari ad Euro 2,8 milioni. Il pagamento del corrispettivo è stato supportato in parte con finanziamento bancario ed in parte con mezzi propri.

# **DBA GROUP ACQUIRES 60% OF PROYECTOS IFG AND ENTERS THE SPANISH MARKET**

**The Group continues to expand abroad and focuses on the Data Center sector, in which the Spanish engineering company is highly specialized.**

VILLORBA (Treviso), *30thJanuary 2025* – DBA Group S.p.A., listed on the Euronext Growth Milan market of the Italian Stock Exchange and one of the leading companies in Italy in technical consulting, engineering, project management, and ICT solutions for the lifecycle management of mission-critical works and network infrastructure, announces that today it has completed the purchase of 60% of the shares of the engineering company Proyectos IFG, based in Las Rozas de Madrid in Spain. The transaction was carried out through the operating company DBA PRO. S.p.A., wholly owned by DBA Group S.p.A.

## **Growth Strategy Behind the Transaction**

With this acquisition, DBA Group aims to implement the 2023-2026 Industrial Plan, which includes a component of non-organic revenue growth, partly derived from strategic acquisitions in the European market.

To materialize this strategy, DBA Group has decided to focus on Spain, after carefully assessing the country's macroeconomic growth parameters and conducting specialized market studies. These studies confirmed positive dynamics similar to those in Italy in the fields of Data Centers and renewable energy.

Thanks to these market studies and its direct expertise in the Data Center sector, DBA identified the engineering company Proyectos IFG, founded by Alberto and Ignacio Fernandez Guerra, as the ideal partner to drive business expansion in the Iberian Peninsula.

# **About Proyectos IFG**

Proyectos IFG is an engineering company specializing in integrated Data Center projects, ranging from small-scale facilities to Campus Data Centers and Hyperscale operators.

The company has a multidisciplinary team composed of expert engineers from various fields, architects, and graphic designers (BIM 3D), capable of developing any type of project and integrating into joint ventures with installers or construction firms. Proyectos IFG operates nationwide in Spain.

## **Key Financials of the acquisition**

In 2023, Proyectos IFG recorded a production value of €3.92 million and an EBITDA of €742 thousand. The net profit for the 2023 financial year amounted to €489 thousand.

As of December 31, 2023, Proyectos IFG's equity stood at €1.691 million, with a net financial position of €542 thousand (cash surplus).

The preliminary 2024 financial results indicate a production value of approximately €4.71 million and an EBITDA of approximately €0.84 million. These figures will be finalized in the official financial statements.

The Enterprise Value of IFG is €4.7 million. The provisional purchase price, subject to closing adjustments, for 60% of the shares is €2.8 million. The purchase price was partially financed through bank funding and partially covered by own resources.
