Den 03.12.2024 kl. 09:00 avholdes det ekstraordinær generalforsamling i Pioneer Property Group ASA ("**Selskapet**"), på Selskapets kontor i Rådhusgata 23, 0158 Oslo.

Styret anser det som hensiktsmessig å optimalisere Selskapets kapitalstruktur gjennom en innløsning av ordinære aksjer. Selskapets aksjeeiere Grafo AS og Eidissen Consult AS har sagt seg villige til å få til sammen 3 284 048 av sine ordinære aksjer innløst

An extraordinary general meeting of Pioneer Property Group ASA (the "**Company**") will be held on 3 December 2024 at 09:00 hours (CET), at the Company's offices in Rådhusgata 23, 0158 Oslo.

Generalforsamlingen vil bli åpnet av styrets leder, Roger Adolfsen. The general meeting will be opened by the chairperson of the board of directors, Roger Adolfsen.

Til behandling foreligger: The following is on the agenda:

## **1 VALG AV MØTELEDER 1 ELECTION OF A PERSON TO CHAIR THE MEETING**

Styret foreslår at Roger Adolfsen velges som møteleder. The board of directors proposes that Roger Adolfsen is elected to chair the meeting.

# **2 ELECTION OF A PERSON TO CO-SIGN THE MINUTES TOGETHER WITH THE CHAIR OF THE MEETING**

The board of directors proposes that John Ivar Busklein is elected to co-sign the minutes.

## **3 GODKJENNING AV INNKALLING OG DAGSORDEN 3 APPROVAL OF THE NOTICE AND THE AGENDA**

Styret foreslår at generalforsamlingen treffer følgende vedtak: The board of directors proposes that the general meeting passes the following resolution:

# **4 SHARE CAPITAL REDUCTION BY REDEMPTION OF ORDINARY SHARES**

The board of directors considers that it is desirable to optimize the capital structure of the Company through a redemption of ordinary shares. The Company's shareholders Grafo AS and Eidissen Consult AS have expressed willingness to have in total 3 284 048 of their ordinary shares redeemed against a redemption

### til en innløsningssum på NOK 47,220 per ordinære aksje. price of NOK 47.220 per ordinary shares.

Styret har vurdert hvorvidt en slik innløsning vil være i tråd med gjeldende rettslige krav til likebehandling av aksjeeiere. Styret har ved denne vurderingen lagt vekt på at en slik innløsning ikke antas å forringe preferanseaksjenes økonomiske rettigheter. Videre bemerkes det at Selskapet, forutsatt at generalforsamlingen vedtar forslaget om innløsning av ordinære aksjer, har til hensikt å iverksette en prosess for tilbakekjøp av preferanseaksjer for en samlet kjøpesum på inntil NOK 40 millioner. Styret har også lagt vekt på at den foreslåtte innløsningssummen på NOK 47,220 per ordinære aksje, basert på Selskapets årsregnskap for regnskapsåret 2023 og halvårsregnskap for første halvår av 2024, anses for å ligge under virkelig verdi på Selskapets ordinære aksjer. De øvrige eierne av ordinære aksjer har også samtykket til den mulige innløsningen. Styret anser på denne bakgrunn en slik innløsning av ordinære aksjer for å være i Selskapets og aksjeeiernes felles interesse.

På denne bakgrunn foreslår styret at det gjøres en kapitalnedsettelse i Selskapet ved innløsning av 3 284 048 ordinære aksjer, fordelt med 1 642 024 ordinære aksjer på Grafo AS og 1 642 024 ordinære aksjer på Eidissen Consult AS, til en innløsningssum på NOK 47,220 per ordinære aksje. Kapitalnedsettelsen gjøres ved utdeling til nevnte aksjeeiere. Innløsningssummen innebærer at det vil skje en utdeling med større beløp enn kapitalnedsettelsesbeløpet, og det overskytende beløpet skal dekkes av overkurs.

Gjennomføring av kapitalnedsettelsen vil forutsette kreditorvarsel i henhold til allmennaksjeloven § 12-6.

Styret har med utgangspunkt i balansen i Selskapets årsregnskap for 2023 foretatt en vurdering av Selskapets netto eiendeler og konkludert med at Selskapet etter den foreslåtte kapitalnedsettelsen, samt kapitalnedsettelsen foreslått i punkt 5 nedenfor, vil ha netto eiendeler som gir dekning for Selskapets aksjekapital og bundne egenkapital forøvrig. Dette er også bekreftet av Selskapets revisor, jf. bekreftelsen inntatt som Vedlegg 3 til innkallingen.

Styret har også vurdert Selskapets egenkapital og likviditet og har konkludert med at Selskapet vil ha en forsvarlig egenkapital og likviditet etter den foreslåtte kapitalnedsettelsen, samt kapitalnedsettelsen foreslått i punkt 5 nedenfor.

The board of directors has assessed whether such redemption would comply with the applicable legal requirements for the equal treatment of shareholders. In conducting this assessment, the board of directors has placed emphasis on the fact that such redemption is not expected to adversely affect the economic rights of the preference shares. It is also noted that the Company, provided that the general meeting adopts the proposal to redeem ordinary shares, intends to initiate a process for the buyback of preference shares for a total consideration of up to NOK 40 million. Furthermore, the board of directors has taken into account that the proposed redemption amount of NOK 46.452 per ordinary share, based on the Company's annual accounts for the financial year 2023 and the interim financial statements for the first six months of 2024, is deemed to be below the fair market value of the Company's ordinary shares. The other holders of ordinary shares have also consented to the potential redemption. On this background, the board of directors considers such a redemption of ordinary shares to be in the Company's and the shareholders' common interest.

On this background, the board of directors proposes to carry out a share capital reduction in the Company through the redemption of 3,284,048 ordinary shares, allocated with 1,642,024 ordinary shares to Grafo AS and 1,642,024 ordinary shares to Eidissen Consult AS, at a redemption amount of NOK 47.220 per ordinary share. The share capital reduction will be completed through a distribution to the aforementioned shareholders. Due to the redemption amount, the distribution amount will be higher than the share capital reduction amount, and the excess amount shall be covered by share premium.

Completion of the share capital reduction will require creditor notification, cf. Section 12-6 of the Norwegian Public Limited Companies Act.

Based on the balance sheet in the Company's annual accounts for 2023 the board of directors has made an assessment of the Company's net assets and concluded that after the proposed share capital reduction, as well as the share capital reduction proposed in item 5 below, the Company will have net assets that cover the Company's share capital and other non-distributable equity. This has also been confirmed by the Company's auditor, cf. the confirmation included as Appendix 3 to this notice.

The board of directors has also considered the Company's equity and liquidity and has concluded that the Company will have a sound equity and liquidity after the proposed share capital reduction as well as the share capital reduction proposed in item 5 below.

Styret har ved ovennevnte vurderinger også hensyntatt det påtenkte tilbakekjøpet av preferanseaksjer nevnt ovenfor.

På denne bakgrunn foreslår styret at generalforsamlingen treffer følgende vedtak:

- 
- *(ii) Nedsettelsen skjer ved innløsning av totalt 3 284 048 ordinære aksjer, hver pålydende NOK 1. Nedsettelsen skjer ved innløsning av følgende ordinære aksjer:* 
	- *1 642 024 ordinære aksjer, eid av Grafo AS (org. nr. 947 195 360); og*
	- *1 642 024 ordinære aksjer, eid av Eidissen Consult AS (org. nr. 916 524 552).*
- *(iii) Innløsningsbeløpet skal utdeles til aksjeeiere nevnt ovenfor i punkt (ii), i samme forhold som de innløser aksjer. Det totale innløsningsbeløpet er NOK 155 072 746,56 hvorav NOK 3 284 048 er aksjekapital og det overskytende beløpet på NOK 151 788 698,56 skal dekkes av overkurs. Innløsningsbeløpet for hver ordinære aksje er NOK 47,220, hvorav NOK 1 er aksjekapital og NOK 46,220 skal dekkes av overkurs.*
- *(iv) Selskapets vedtekter § 4 endres til å reflektere aksjekapitalen og antall aksjer etter kapitalnedsettelsen.*

## **5 KAPITALNEDSETTELSE VED INNLØSNING AV EGNE PREFERANSEAKSJER**

Selskapet eier på datoen for denne innkallingen 987 966 egne preferanseaksjer. For å tilrettelegge for det påtenkte tilbakekjøpet av preferanseaksjer nevnt i punkt 4 ovenfor, foreslår styret at det gjøres en kapitalnedsettelse i Selskapet ved innløsning av 500 000 av disse preferanseaksjene.

Gjennomføring av kapitalnedsettelsen vil forutsette kreditorvarsel i henhold til allmennaksjeloven § 12-6.

Styret har med utgangspunkt i balansen i Selskapets årsregnskap for 2023 foretatt en vurdering av Selskapets netto eiendeler og konkludert med at Selskapet etter den foreslåtte kapitalnedsettelsen, samt kapitalnedsettelsen foreslått i punkt 4 ovenfor, vil ha netto eiendeler som gir dekning for Selskapets The board of directors has in the above-mentioned assessments also taken into account the potential buyback of preference shares mentioned above.

On the basis of the above, board of directors proposes that the general meeting passes the following resolution:

- *(i) Aksjekapitalen nedsettes med NOK 3 284 048. (i) The share capital is reduced with NOK 3,284,048.*
	- *(ii) The reduction takes place through redemption of in total 3,284,048 ordinary shares each with a nominal value of NOK 1. The reduction takes place through redemption of the following ordinary shares:* 
		- *1,642,024 ordinary shares, owned by Grafo AS (reg. no. 947 195 360); and*
		- *1,642,024 ordinary shares, owned by Eidissen Consult AS (reg. no. 916 524 552).*

*(iii) The reduction amount shall be distributed to the shareholders mentioned in item (ii) above, in the same proportion as they redeem shares. The total redemption amount is NOK 155,072,746.56, of which NOK 3,284,048 is share capital and the excess amount of NOK 151,788,698.56 shall be covered from share premium. The redemption amount per ordinary share is NOK 47.220, of which NOK 1 is share capital and NOK 46.220 shall be covered from share premium.* 

*(iv) Section 4 of the Company's articles of association is amended to reflect the share capital and the number of shares following the share capital reduction.* 

## **5 SHARE CAPITAL REDUCTION BY REDEMPTION OF OWN PREFERENCE SHARES**

On the date of this notice, the Company owns 987,966 own preference shares. To facilitate the potential buyback of preference shares mentioned in item 4 above, the board of directors proposes to carry out a share capital reduction though the redemption of 500,000 of these preference shares.

Completion of the share capital reduction will require creditor notification, cf. Section 12-6 of the Norwegian Public Limited Companies Act.

Based on the balance sheet in the Company's annual accounts for 2023 the board of directors has made an assessment of the Company's net assets and concluded that after the proposed share capital reduction, as well as the share capital reduction proposed in item 4 above, the Company will have net assets that aksjekapital og bundne egenkapital forøvrig. Dette er også bekreftet av Selskapets revisor, jf. bekreftelsen inntatt som Vedlegg 3 til innkallingen.

På denne bakgrunn foreslår styret at generalforsamlingen treffer følgende vedtak:

- *(i) Aksjekapitalen nedsettes med NOK 500 000, ved sletting av 500 000 av selskapets egne preferanseaksjer, hver pålydende NOK 1.*
- *(ii) Kapitalnedsettelsen innebærer ingen utdeling fra selskapet.*
- *(iii) Selskapets vedtekter § 4 endres til å reflektere aksjekapitalen og antall aksjer etter kapitalnedsettelsen.*

On the basis of the above, board of directors proposes that the general meeting passes the following resolution:

*(i) The share capital is reduced with NOK 500,000, by redemption of 500,000 of the company's own preference shares, each with a nominal value of NOK 1.* 

- *(ii) The share capital reduction does not entail any distribution from the company.*
- *(iii) Section 4 of the company's articles of association is amended to reflect the share capital and the number of shares following the share capital reduction.*

I perioden etter siste balansedag er det ikke inntruffet hendelser av vesentlig betydning for Selskapet utover det som er offentliggjort av Selskapet via www.newsweb.no. Selskapets årsregnskap, årsberetning og revisjonsberetning for regnskapsåret 2023 er tilgjengelig på Selskapets hjemmeside.

Since the latest balance sheet date, there have been no events of significant importance for the Company other than what has been publicly disclosed at www.newsweb.no. The annual accounts, annual report and the auditor's report for the financial year 2023 are available on the Company's website.

*Generalforsamlingen avholdes som et fysisk møte, men aksjeeiere har også anledning til å delta på generalforsamlingen elektronisk. Selskapet vil tilrettelegge for at aksjeeierne får mulighet til å stemme både elektronisk og under møtet. Dersom man ikke ønsker å bruke elektroniske hjelpemidler eller møte fysisk, anmodes aksjeeierne i Selskapet i stedet om å benytte fullmakt, slik som nærmere beskrevet i denne innkallingen.* 

*Kun de som er aksjeeiere i Selskapet fem virkedager før generalforsamlingen, dvs. den 26.11. 2024, ("Registreringsdatoen"), har rett til å delta og stemme på generalforsamlingen, jf. allmennaksjeloven § 5-2. En aksjeeier som ønsker å delta og stemme på generalforsamlingen, må være innført i aksjeeierregisteret (VPS) på Registreringsdatoen eller ha meldt og godtgjort erverv per Registreringsdatoen. Aksjer som er ervervet etter Registreringsdatoen, gir ikke rett til å delta og stemme på generalforsamlingen.* 

*Aksjeeiere som ikke selv møter på generalforsamlingen, kan møte ved fullmektig. Skjema for tildeling av fullmakt med nærmere instruksjoner for bruk av fullmaktsskjemaet, er vedlagt denne innkallingen som Vedlegg 1 (norsk) og Vedlegg 2 (engelsk) (som også er gjort tilgjengelig på Selskapets hjemmeside angitt nedenfor). Fullmakt kan om ønskelig gis til styrets leder Roger Adolfsen eller den*  *The general meeting is to be held as a physical meeting, but the shareholders may attend at the general meeting electronically. November 2024 (the "Record Date"), are entitled to attend and vote at the general meeting, cf. Section 5-2 of the Norwegian Public Limited Companies Act. A shareholder who wishes to attend and vote at the general meeting must be registered in the shareholder register (VPS) at the Record Date or have reported and documented an acquisition as per the Record Date. Shares that are acquired after the Record Date do not entitle the holder to attend and vote at the general meeting.* 

*Shareholders that will not attend the general meeting may be represented by proxy. The proxy form, including detailed instructions for the use of the form, is enclosed to this notice as Appendix 1 (Norwegian language) and as Appendix 2 (English language) (which is also available on the Company's website as set out below). If desirable, proxy may be given to the chairperson of the board of directors, Roger*  *han bemyndiger. Utfylte fullmaktsskjemaer kan enten leveres i generalforsamlingen eller sendes til Selskapet pr post eller e-post innen den 02.12.2024.* 

*I henhold til Selskapets vedtekter § 10 har styret bestemt at aksjeeiere som ønsker å delta på generalforsamlingen (enten selv eller ved fullmektig), må melde fra om dette til Selskapet ved å sende det vedlagte påmeldingsskjemaet som Vedlegg 1 (norsk) og Vedlegg 2 (engelsk) (som også er gjort tilgjengelig på Selskapets hjemmeside angitt nedenfor), til Selskapet på følgende adresse: Rådhusgata 23, 0158 Oslo eller per e-post til IR@pioneerproperty.no. Meldingen må være mottatt senest den 02.12.2024. Aksjeeiere som ikke foretar slik forhåndspåmelding eller som oversitter ovennevnte frist, kan nektes adgang på generalforsamlingen og vil da heller ikke kunne stemme for sine aksjer.* 

*Dersom aksjer er registrert i VPS på en forvalter, jf. allmennaksjeloven § 4-10, og den reelle aksjeeieren ønsker å delta i generalforsamlingen, må den reelle aksjeeieren be forvalteren gi Selskapet melding om dette. I henhold til allmennaksjeloven § 1-8, samt forskrift om formidlere omfattet av verdipapirsentralloven § 4-5 og tilhørende gjennomføringsforordninger, sendes innkallingen til generalforsamlingen til forvalter, som videreformidler til aksjeeiere de holder aksjer for. Aksjeeiere som eier aksjer via forvalter skal kommunisere med sin forvalter som har ansvar for å formidle påmelding (selv eller ved fullmakt) eller forhåndsstemmer til Selskapet. Forvalter må i henhold til allmennaksjeloven § 5-3 gi Selskapet melding om den reelle aksjeeierens deltakelse senest to (2) virkedager før generalforsamlingen (dvs. 29.11.2024).* 

*Pioneer Property Group ASA er et allmennaksjeselskap underlagt allmennaksjelovens regler. Selskapet har per dato for denne innkallingen utstedt 9 814 470 ordinære aksjer og 4 868 553 preferanseaksjer. Hver preferanseaksje har stemmevekt på 1/10 stemmer, således at 10 preferanseaksjer gir én stemme, mens én ordinær aksje gir én stemme. Preferanseaksjene har slik fortrinnsrett til utdeling som fremgår av Selskapets vedtekter. Selskapet eier på datoen for denne innkallingen 987 966 egne preferanseaksjer.* 

*En aksjeeier har rett til å fremsette forslag til beslutninger i saker på dagsordenen og til å kreve at styremedlemmer og daglig leder på generalforsamlingen gir tilgjengelige opplysninger om forhold som kan innvirke på bedømmelsen av (i) godkjennelse av årsregnskapet og årsberetningen, (ii) saker som er forelagt generalforsamlingen til avgjørelse, og (iii) Selskapets økonomiske stilling, herunder virksomheten i andre selskaper som Selskapet deltar i, og andre saker som generalforsamlingen skal behandle, med mindre de opplysninger som kreves, ikke kan gis uten uforholdsmessig skade for*  *Adolfsen or a person appointed by him. Completed proxy forms may either be sent to the Company by mail or email within 02.Decemeber 2024 (CET) or be presented at the general meeting.* 

*Pursuant to Article 10 of the Company's Articles of Association, the board of directors has decided that the shareholders wishing to attend the general meeting (in person or by proxy) must give notice to the Company to this effect by sending the enclosed registration form as Appendix 1 (Norwegian language) and as Appendix 2 (English language) (which is also available on the Company's website as set out below) to the Company, at the following address: Rådhusgata 23, 0158 Oslo or per email to IR@pioneerproperty.no. The registration form must be received no later than 02. December 2024. Shareholders who do not provide such attendance registration form, or do not meet the deadline stated above, may be denied entrance to the general meeting and will then not be able to vote their shares.* 

*If shares are held through a nominee in the VPS register, cf. Section 4- 10 of the Norwegian Public Limited Companies Act, and the beneficial owner wishes to attend the general meeting, the beneficial owner must ask the nominee to notify the Company of this. In accordance with Section 1-8 of the Norwegian Public Limited Companies Act, as well as regulations on intermediaries covered by Section 4-5 of the Norwegian Central Securities Depositories Act and related implementing regulations, notice of the general meeting is sent to nominees who pass it on to shareholders for whom they hold shares. Shareholders must communicate with their nominee, who is responsible for conveying votes or notices of attendance to the Company. Nominees must in accordance with Section 5-3 of the Norwegian Public Limited Companies Act notify the Company of a beneficial owner's attendance no later than two (2) business days prior to the general meeting (i.e. 29. November 2024).* 

*Pioneer Property Group ASA is a public limited company subject to the rules of the Norwegian Public Limited Companies Act. As of the date of this notice, the Company has issued 9,814,470 ordinary shares and 4,868,553 preference shares. Each preference share represents 1/10 vote, so that 10 preference shares represent one vote, while one ordinary share represents one vote. The preference shares have priority with respect to distributions as set forth in the Company's Articles of Association. At the date of this notice, the Company owns 987,966 own preference shares.* 

*A shareholder may make proposals for resolutions with respect to matters on the agenda and may require that members of the board of directors and the chief executive officer at the general meeting provide available information about matters which may affect the assessment of (i) the approval of the annual accounts and the annual report, (ii) matters that are presented to the shareholders for decision and (iii) the Company's financial situation, including operations in other companies in which the Company participates, and other matters to be discussed at the general meeting, unless the requested information*
