## A.B.P. NOCIVELLI ADOTTA UN NUOVO MODELLO 231/2001 E IL CODICE ETICO.

### NOMINATO L'ORGANISMO DI VIGILANZA

Castegnato (Brescia), 22 dicembre 2023 – A.B.P. Nocivelli S.p.A., Esco Company leader del settore nelle operazioni di Partenariato Pubblico Privato per la realizzazione di strutture sanitarie e ospedaliere, quotata nel segmento Euronext Growth Milan (Codice ISIN IT0005439861, Ticker ABP:IM), comunica che il Consiglio di Amministrazione della Società ha approvato l'adozione di un nuovo "Modello di Organizzazione, Gestione e Controllo" predisposto ai sensi del D.Lgs. n. 231/2001, nella relativa parte generale e speciale (in breve, il "Modello 231"), e del Codice Etico. In conformità con quanto previsto nel Modello 231, l'Organo Amministrativo di A.B.P. Nocivelli S.p.A. ha altresì nominato l'Organismo di Vigilanza nella persona del Prof. Paolo Bastia, con il compito di vigilare sulla corretta implementazione, efficacia ed osservanza del Modello 231 all'interno della Società nonché di curarne il relativo aggiornamento.

L'approvazione del Modello 231 e del Codice Etico permette alla Società di rafforzare il proprio sistema interno di controllo e vigilanza, che assicurerà una maggiore tutela a tutti gli stakeholders.

Il Gruppo Nocivelli ABP è stato fondato a Castegnato (Brescia) nel 1963 e ha inizialmente operato nel commercio di prodotti petroliferi e lubrificanti. Dal 1988 ha diversificato la propria attività specializzandosi nella realizzazione di impianti tecnologici, meccanici ed elettrici, nella costruzione di opere edili, civili e industriali e nel Facility Management. Il Gruppo Nocivelli è composto dalla capogruppo ABP Nocivelli S.p.A. e dalla controllata (al 100%) RPP srl Run Power Plants, acquisita nel 2016, specializzata nella progettazione, realizzazione, fornitura, installazione e manutenzione di illuminazione LED. Il Gruppo ha la sede principale a Castegnato (BS) ed è presente con sedi operative a Brescia, Chieti Scalo e Ponderano (Biella). RPP ha sede a Castenedolo (BS). Bruno Nocivelli è il Presidente del Consiglio di Amministrazione, mentre Nicola Turra ricopre il ruolo di Amministratore Delegato. Al 30 giugno 2023 i dati d'esercizio del gruppo hanno riportato un Valore della Produzione pari a 75,1 milioni di Euro, con un EBITDA pari a 15,3 milioni di Euro ed un utile netto di 10,6 milioni di Euro.

# **A.B.P. NOCIVELLI ADOPTS A NEW MODEL 231/2001 AND THE CODE OF ETHICS.**

# **SUPERVISORY BOARD APPOINTED**

*Castegnato (Brescia), December 22, 2023 -* A.B.P. Nocivelli S.p.A., Esco Company leading in the Public Private Partnership sector for the construction of healthcare and hospital facilities, listed on the Euronext Growth Milan segment (ISIN code IT0005439861, Ticker ABP:IM), announces that the Company's Board of Directors has approved the adoption of a new "Organization, Management and Control Model" pursuant to Legislative Decree no. 231/2001, in the relevant general and special part (the "Model 231"), and has also approved the Code of Ethics. In compliance with the provisions of Model 231, the Administrative Body of A.B.P. Nocivelli S.p.A. has also appointed the Supervisory Board in the person of Prof. Paolo Bastia, with the task of supervising the correct implementation, effectiveness and observance of Model 231 within the Company, as well as ensuring its update.

The approval of Model 231 and the Code of Ethics allows the Company to strengthen its internal control and supervision system, which will ensure greater protection for all stakeholders.
