In the fast track proceeding (Freigabeverfahren) initiated by the Company
in order to effect the registration of the resolution of the annual general
meeting 2014 on item 3 of the agenda (capital reduction and share
repurchase 2014) with the commercial register, the Company on the one hand
and Riebeck-Brauerei von 1862 AG and Rheintex Verwaltungs AG on the other
today agreed to a settlement proposal of the Higher Regional Court of
Nürnberg.

The settlement comprises the amicable ending of the fast track proceeding
and the agreement to declare the law suits filed by Riebeck-Brauerei von
1862 AG and Rheintex Verwaltungs AG against the resolutions of the annual
general meeting 2014 on item 2 (appropriation of profits) and item 3
(capital reduction and share repurchase 2014) moot (für erledigt erklären).
Riebeck-Brauerei von 1862 AG and Rheintex Verwaltungs AG expressly consent
to the entry of the resolution on capital reduction into the commercial
register. The settlement agreement still requires formal determination by
resolution of the Higher Regional Court of Nürnberg.

The share repurchase 2014 will be implemented once the resolution on
capital reduction has been entered into the commercial register. Once
determined, the terms of the share repurchase 2014 will be announced
separately.

The law suits filed by Riebeck-Brauerei von 1862 AG and Rheintex
Verwaltungs AG against the resolution on item 7.4 of the agenda of the
annual general meeting 2014 regarding the election of Prof. Dr. h.c. Ludwig
Georg Braun as member of the supervisory board remain unaffected by the
aforementioned settlement.
