Item 8.01. Other Events.

On September 10, 2020, Zoetis Inc. ("Zoetis") delivered a notice of redemption (the “Notice”) to Deutsche Bank Trust Company Americas, as trustee for the holders of its 3.450% Senior Notes due 2020 (CUSIP No. 98978V AJ2), originally issued on November 13, 2015 (the “2020 Notes”). As set forth in the Notice, Zoetis has determined to redeem in full the $500 million aggregate principal amount of the 2020 Notes at a redemption price equal to 100% of the principal amount, plus accrued interest to, but not including, the redemption date of October 13, 2020. Upon completion of the redemption, no 2020 Notes will remain outstanding.
