YOC to take over mobile entertainment provider Moustik

• Acquisitions in Belgium and Germany

Berlin/Brussels, 12th February 2007 – YOC AG (YOC/ISIN DE0005932735) today
announces the purchase of Moustik Sprl., Brussels and Moustik GmbH, Cologne
wholly owned subsidiaries of the Swiss company Moustik AG based in the
canton of Schwyz.

The purchase price for the two profitable companies being taken over
includes a fixed element and a variable element depending on performance in
the 2007 business year which is equivalent to a net purchase price being
1.7 to 2.3 times the EBIT for the 2006 business year. The YOC AG
supervisory board has agreed to the take-over. It was agreed not to reveal
any further details of the purchase contract.

For YOC AG the take-over of Moustik is an important step in the
implementation of their international growth strategy announced when the
company was floated. Moustik is one of the leading providers of mobile
entertainment in Belgium and Germany. With this acquisition YOC will gain
access to the Belgian market and will thus significantly increase sales of
their own mobile B2C services product area outside their core German market
and expand their own consumer business focussed on the German-speaking
countries with high value content such as music, wallpapers or games for
mobile phones.

Moustik Sprl. and Moustik GmbH will continue to operate as subsidiaries in
their existing legal form. Within this framework YOC will take over both
companies’ customers in Belgium and Germany and will acquire all rights to
use Moustik’s brands. Jörg Schmücker, Managing Director of YOC AG will
join the management board of Moustik GmbH. The management of the Belgian
subsidiary will be continued by the previous management of Moustik Sprl.

Dirk Kraus, CEO of YOC AG: 'The take-over of Moustik and thus our entry
into the Belgian market is a logical extension of our international growth
strategy. Besides the growth to date in our mobile marketing business we
are aiming to achieve a sustained positive development in the mobile B2C
area. This acquisition has been achieved against a background of
competition from other operators in the market and we now anticipate a
significant increase in turnover of around 2.5 million EUR in this product
area for the 2007 business year with an attractive operating profit in the
low double figure range.'
