XTPL S.A. — Share Issue/Capital Change 2019

The Management Board of XTPL S.A. (the "Issuer") announces that on 14October 2019, the Management Board of the Warsaw Stock Exchange ("WSE"),issued resolution No. 1080/2019, deciding as follows:

I. admit to trading on the parallel market of the Warsaw Stock Exchange("Parallel Market"), 78 000 series S ordinary bearer shares ("AdmittedShares");

II. introduce to trading on the Parallel Market, as of 16 October 2019(the listing date) 78 000 series S ordinary bearer shares;

provided that the Central Securities Depository of Poland (KrajowyDepozyt Papierów Wartościowych S.A., KDPW) registers these shares on 16October 2019, coding them as "PLXTPL000018";
