Item 2.02 Results of Operations and Financial Condition.

On October 28, 2014, Wynn Resorts, Limited issued a press release announcing its results of operations for the third quarter ended September 30, 2014. The press release is furnished herewith as Exhibit 99.1. The information in this Current Report on Form 8-K, including Exhibit 99.1 attached hereto, shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, nor shall it be deemed incorporated by reference in any filing under the Securities Act of 1933, as amended, except as shall be expressly set forth by specific reference in such filing.

Item 8.01 Other Events.

On October 28, 2014, the Board of Directors of Wynn Resorts, Limited approved a new quarterly cash dividend of $1.50 per common share, a 20% increase from its previous regular dividend. The Company has also approved an additional cash dividend of $1.00 per share. The total dividend of $2.50 per share will be payable on November 25, 2014 to stockholders of record on November 12, 2014.
