Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Karen S. Acree has resigned from her position of Vice President, Controller and Chief Accounting Officer of W&T Offshore, Inc. (the “Company”) effective September 18, 2015 to pursue other interests. Ms. Acree’s resignation did not result from any disagreement with the Company regarding any matter related to the Company’s operations, policies or practices. Mr. John D. Gibbons, Senior Vice President and Chief Financial Officer, will reassume the role as principal accounting officer of the Company.
