Item 1.01. Entry into Material Definitive Agreements.

On November 2, 2021, Workhorse Group Inc. (the “Company”) entered into a securities exchange agreement (the “Exchange Agreement”) with Antara Capital LP (the “Holder”), one of the holders of the Company’s 4.00% senior secured convertible notes due 2024 (the “Notes”). The Exchange Agreement provides that on November 8, 2021 (the “Closing Date”), the Holder will exchange $82,500,000 in aggregate principal amount of the Notes (the “Exchange Notes”), for 12,132,353 of shares (the “Exchange Shares”) of the Company’s common stock. The number of Exchange Shares was determined by dividing the outstanding principal amount of the Exchange Notes by the average of the Nasdaq Official Closing Prices of the Company’s common stock on the five trading days immediately preceding November 2, 2021. The exchange will be exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”), pursuant to Section 3(a)(9) of the Securities Act. The Exchange Agreement provides that, following the completion of the exchange, the Exchange Notes will be cancelled, with the Company owing no further obligations thereunder.

The Exchange Agreement contains customary representations, warranties, covenants, and other agreements by the Company and the Holders. The representations, warranties, covenants, and other agreements made in the Exchange Agreement were made only for purposes of such agreement and as of specific dates, were solely for the benefit of the parties to such agreement and may be subject to limitations agreed upon by the contracting parties. The above description of the Exchange Agreement does not purport to be complete and is qualified in its entirety by the complete text of such agreement, a form of which is filed as Exhibit 10.1, and incorporated herein by reference.
