VOLUNTARY LIQUIDATION OF SUBSIDIARY

The board of directors (the " Board ") of Willas-Array Electronics (Holdings) Limited (the " Company ") refers to the Company's announcement dated 9 December 2014 in relation to the voluntary liquidation of 慧能思達科技（成都）有限公司 (translated as "Valence Tech (Chengdu) Limited") (the " Former Subsidiary ").

The Board wishes to update that the voluntary liquidation process has been completed in accordance with the laws and regulations of The People's Republic of China, and the Former Subsidiary is no longer a subsidiary of the Company.
