RESPONSE TO SGX-ST QUERY ON THE COMPANY’S ANNUAL REPORT FOR THE FINANCIAL YEAR ENDED 31 MARCH 2014

The Board of Directors (the “ Board ”) of Willas-Array Electronics (Holdings) Limited (the “ Company ”) wishes to provide the following clarification in response to a query received from the Singapore Exchange Securities Trading Limited (“SGX-ST”) on the 2014 Annual Report of the Company in respect of its financial year ended 31 March 2014.

SGX-ST Query:

Please confirm if the Company has complied with Listing Rule 1207(6) in terms of disclosing a statement that the issuer complies with Listing Rules 712, and Listing Rule 715 or 716 in relation to its auditing firms.

Response from the Company:

The Board wishes to clarify that the following confirmation from the Company was inadvertently omitted from page 38 of the 2014 Annual Report:

"The Company confirms that it is in compliance with Rules 712 and 716 of the SGX-ST Listing Manual."

Shareholders are advised to review the 2014 Annual Report together with the above clarification.
