VOLUNTARY ANNOUNCEMENT

APPOINTMENT OF MANAGEMENT POSITIONS IN SHUANGHUI DEVELOPMENT

Henan Shuanghui Investment & Development Co., Ltd. (河南雙匯投資發展股份有限公司) (“ Shuanghui Development ”) is a company incorporated in the People’s Republic of China whose shares are listed on the Shenzhen Stock Exchange. As at the date of this announcement, WH Group Limited owns approximately 73.26% equity interest in Shuanghui Development.

On August 27, 2015, Shuanghui Development announced (among others) the following appointments, each with effect from August 27, 2015 having duly obtained the necessary shareholders’, board and supervisory committee approvals:

1. Mr. Wan Long, Mr. Jiao Shuge and Mr. You Mu as the directors of the sixth session of the board of directors, with Mr. Wan Long as the chairman and Mr. Jiao Shuge as the vice-chairman;

2. Mr. Zhao Hulin, Mr. Yin Xiaohua and Mr. Yang Dongsheng as the independent directors of the sixth session of the board of directors;

3. Mr. Hu Yungong, Ms. Hu Yuhong and Mr. Li Xianghui as the supervisors of the sixth session of the supervisory committee, with Mr. Hu Yungong as the chairman;

4. Mr. Yang Dongsheng, Mr. Wan Long, Mr. Yin Xiaohua as the members of the audit committee, with Mr. Yang Dongsheng as the chairman;

5. Mr. Yin Xiaohua, Mr. Wan Long, Mr. Zhao Hulin as the members of the remuneration and evaluation committee, with Mr. Yin Xiaohua as the chairman;

1. Mr. Yin Xiaohua, Mr. Wan Long, Mr. Zhao Hulin as the members of the nomination committee, with Mr. Yin Xiaohua as the chairman;

2. Mr. Wan Long, Mr. Jiao Shuge, Mr. Yin Xiaohua as the members of the strategy committee, with Mr. Wan Long as the chairman;

3. Mr. You Mu as the president;

4. Mr. Zhang Liwen as the secretary to the board of directors;

5. Ms. Qiao Haili, Mr. Liu Hongsheng, Mr. Du Junfu, Mr. Ma Xiangjie, Ms. Wang Yufen , Mr. Li Hongwei, Mr. Wen Guoshan, Mr. Liu Qingde, Mr. He Ke, Mr. Yang Guanhua and Mr. Song Baoguo as the vice-presidents;

6. Mr. Liu Songtao as the chief financial officer; and

7. Mr. Liang Yongzhen as the securities representative.
