RETIREMENT OF EXECUTIVE DIRECTOR AND MEMBER OF BOARD COMMITTEES

The board of directors (the “ Board ”) of WH Group Limited (the “ Company ”) announces that Mr. C. Larry Pope (“ Mr. Pope ”) has advised the Board of his planned retirement and resignation as an executive director of the Company (“ Director ”), and as the chief executive officer of Smithfield Foods, Inc., a wholly-owned subsidiary of the Company (“ Smithfield ”), with effect from December 31, 2015.

In connection with his retirement, Mr. Pope will also cease to be a member of (i) the Environmental, Social and Governance Committee of the Board; and (ii) the Food Safety Committee of the Board, with effect from December 31, 2015.

Mr. Pope has confirmed that he has no disagreement with the Board and there is no matter regarding his retirement and resignation that needs to be brought to the attention of the shareholders of the Company.

Mr. Kenneth M. Sullivan, the president and chief operating officer of Smithfield, will succeed Mr. Pope as the chief executive officer of Smithfield upon Mr. Pope’s retirement.

The Board would like to express its gratitude to Mr. Pope for his valuable contribution to the Company during his tenure of office and his distinguished 35-year career and contribution at Smithfield.
