ANNOUNCEMENT OF APPOINTMENT OF DIRECTOR

The Board of Directors (the “Board”) of Haywood Investments Limited (the “Company”) is pleased to announce that Mr. Wong Wing Hang, Henry (“Mr. Wong”) has been appointed as an independent non-executive director of the Company with effect from 25 August 2004.

Mr. Wong, aged 36, was admitted as a solicitor of the High Court in Hong Kong in 1994. He obtained his Bachelor of Law at the University of Nottingham, and is also a member of the Law Society of Hong Kong. Mr. Wong has approximately 10 years experience in commercial litigation, and is currently a partner of a law firm in Hong Kong. He has been an independent non-executive director (“INED”) of LeRoi Holdings Limited since 8 October 2002. He was also an INED of Gold Wo International Holdings Limited for the period from March 2001 to December 2002. Save as disclosed above, he has not held any other positions of directorship in any company listed on the Stock Exchange during the past three years.

As at the date of this announcement, Mr. Wong has yet to enter into a service contract with the Company. His appointment will be subject to the relevant provisions of retirement and rotation of directors pursuant to the Articles of Association of the Company.

As at the date of this announcement, Mr. Wong has neither interests in the shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance nor any relationships with any directors, senior management or substantial or controlling shareholders of the Company other than acting as independent non-executive director of the Company. Save as disclosed above, there is no other matters which need to be brought to the attention of the shareholders of the Company.

As at the date of this announcement, the Board is comprised of Mr Wong Fong Kim, Mr Tai Ah Lam, Michael, Mr Phang Yul Cher Yeow and Mr. Tham Ming Yong as executive directors; Dr Wong Yun Kuen, Edward, Mr Hsieh Dominick, Mr Chang Kin Man and Mr Wong Wing Hang, Henry as independent non-executive directors.
