The following amendments have been made to the 'Director/PDMR Shareholding' announcement released on 20 February 2017 at 5.36 pm under RNS No 3718X.

The vesting date of the awards has been changed to 17 February 2019.

Removal of references to the 2016 Co-Investment Plan.

All other details remain unchanged.

The awards have been granted in accordance with the Vodafone Global Incentive Plan.  The vesting of these awards is conditional on continued employment with the Vodafone Group and will vest on 17 February 2019.  The awards also attract dividend equivalent awards.
