Press Release from AGM in Vitec Software Group AB (Publ)

The Annual General Meeting of Vitec Software Group AB (publ) decided on May 6, 2015

• to adopt the income statement and balance sheet for the Parent Company and the Group,

• that a dividend SEK 3.35 per share to shareholders (dividend record date is Friday May 8 2014);

• to grant the Board of Directors and the CEO from liability,

• to the Chairman choose Crister Stjernfelt and to elect Kaj Sandart, Jan Friedman, Birgitta Johansson-Hedberg and Anna Valtonen to be board members.

• the meeting decided to appoint PricewaterhouseCoopers AB as auditor until the end of the AGM in 2016

• to authorize the Board to issue new shares and / or issuance of convertible bonds with preferential rights for shareholders of 500 000 shares of series B,

• to authorize the Board to repurchase B shares of Vitec, the holding may not exceed 2% of all shares in the company,

• on guidelines for salary and other remuneration to senior executives,
