Item 8.01 – Other Events

Vishay Intertechnology, Inc. previously reported that it and certain of its affiliates entered into agreements for the purchase of the International Rectifier Corp.’s Power Control Systems (“PCS”) business.

Vishay issued a press release on April 2, 2007 announcing that it completed the acquisition of the PCS business for $290 million in cash on April 1, 2007.

A copy of the press release issued by Vishay is included as Exhibit 99.1.
