Changes to share ownership structure and governance

The Vergnet Group is announcing changes to its share ownership structure and governance.

Historical shareholder Marc Vergnet confirmed having sold, in December 2015, his remaining shares in Vergnet, representing 0.006% of the company's capital and voting rights.

Marc Vergnet is therefore no longer part of the concert party he formed together with Bpifrance and Nass & Wind. As of 1 March 2016, the concert party which will continue to exist between Bpifrance and Nass & Wind represents 68.26% of the company's capital and voting rights.

Furthermore, the company has noted the resignation of Nass & Wind, represented by Nathalie le Meur, and of Peter Nass, as members of the Supervisory Board.

In accordance with the terms of the Shareholders' Agreement, Nass & Wind will propose the nomination of a new member of the Supervisory Board at the next General Assembly.
