Veidekke ASA: MANDATORY NOTIFICATION OF TRADE

On 20 May 2016 Stiftelsen Veidekkeansattes aksjekjøp (the Veidekke Employee

Share Trust) purchased 70 000 Veidekke shares at a price of NOK 104.3568 each.

The Trust now holds 309 703 shares.

These shares will be resold to employees in Veidekke in the share purchase offer

in May 2016.
