Veidekke ASA: MANDATORY NOTIFICATION OF TRADE

On 24 March 2014 Stiftelsen Veidekkeansattes aksjekjøp (the Veidekke Employee

Share Trust) sold 224 900 Veidekke shares at a price of NOK 58.31 which

represents the average price in the period 17 - 23 March 2014. The Trust now

holds 146 537 shares.

Veidekke acquired Arcona AB with subsidiaries in December 2013. The employees in

these companies received a share purchase offer with subscription period 17 -

23 March 2014. In total 57 employees made use of the offer.

These shares will be transferred from the Trust in April 2014. The balance of

Veidekke shares is shown after this transaction.
