Veidekke ASA: MANDATORY NOTIFICATION OF TRADE

On 27 November 2014 Stiftelsen Veidekkeansattes aksjekjøp (the Veidekke Employee

Share Trust) purchased 405 091 Veidekke shares at a price of NOK 65.7469 each.

The Trust now holds 1 043 937 shares.

These shares will be resold to employees in Veidekke in the share purchase offer

in November 2014.
