Sub:Qualified institutions placementof equity shares offace value of = 10 (the "Equity Share(s)") by V-Mart Retail Limited (the "Company") under the provisions of Chapter VI of Securities and Exchange Board of India (Issue of Capital and Disclosure Requirements) Regulations, 2018, as amended (the "SEBI ICDR Regulations"), and Sections 42 and 62 of the Companies Act, 2013 (includingthe rules made thereunder), as amended(the"Issue")

Wewish to inform you that pursuantto the approval accorded by the board of directors of the Company(the "Board"), at its meeting held on September 5, 2020 andthe special resolution passed by the members ofthe Companyat their annual general meeting held on September 30, 2020, the Investment Committee of the Board has, at its meeting heldtodayi.e. 28January, 2021, interalia, passedthe following resolutions:

• a. Authorizing the openingofthe Issue today,i.e. 28" January, 2021;
• b. Approving the floorprice for the Issue, being % 2,432.84 per Equity Share, based on the pricing formula as prescribed under Regulation 176 of the SEBI ICDR Regulations; and c. Approving and adopting the preliminary placement documentdated 28"" January, 2021 together with the application form dated 28" January, 2021 in connection withtheIssue.

Wefurther wish to inform you that the 'relevant date' for the purposeofthe Issue, in terms of Regulation 171 (b)(i) of the SEBI ICDR Regulations, is 28" January, 2021, and the floorprice in respect of the Issue has been determined according to the same,based on the pricing formula as prescribed under Regulation 176(1) ofthe SEBI ICDRRegulations.

Pursuant to Regulation 176(1) of the SEBI ICDR Regulations and in accordance with the approval of the Shareholders accorded through a speciai resolution passedat their annual general meeting held on September 30, 2020, the Company mayatits discretion offer a discount of not more than 5% onthe floorprice for the Issue. Please notethat the trading window will be closed with immediateeffect until February 04, 2021, (inclusive) for the purposeofthe Issue.

The meeting ofthe Investment Committee commencedat 09:00 p.m. and concluded at 22305" .

Wealso wish to inform you that a meeting of the investment Committee is scheduled to be held on orafter February 02, 2021, inter alia, to consider and approve the issue price, including a discount if any thereto, as permitted under the SEBI ICDR Regulations and pursuantto the approval of the shareholders of our Company accordedthrough their resolution passed at their annual general meeting held on September30, 2020, for the Equity Shares to beallotted to qualified institutional buyers, pursuantto the Issue.
