Resignation of Mark E. Scott as Chief financial Officer and Secretary

On August 12, 2016, Mark E. Scott resigned as chief Financial Officer and Secretary effective August 31, 2016.

Mr. Scott had no disagreement with the Company on any matter relating to the registrant’s operations, policies or practices.
