Footnotes

F1: The original Forms 4 filed to report certain stock option exercise transactions that occurred on these dates failed to report that, after each exercise, 85,019 shares were then transferred from the reporting person to his spouse. 85,019 of the shares used to pay the aggregate exercise price for those stock option exercises were held in the spouse's account, but each of the Forms 4 filed by the reporting person on October 23, 2006, April 23, 2007, November 1, 2007, and May 2, 2008, incorrectly reported that all of the shares used to pay the exercise price came from the reporting person's direct holdings.

F2: Based on a plan report dated December 31, 2009, the most recent plan report available.

F3: This "reload" stock option grant was inadvertently omitted from the Form 4 filed by the reporting person on October 23, 2006, which reported the transaction that gave rise to the grant. This stock option was exercised in full by the reporting person on April 24, 2008, and that exercise was reported on a Form 4 filed on April 28, 2008.
