Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 13, 2016, U.S. Bancorp (the "Company") announced the appointment of Terrance R. Dolan, the Company’s Vice Chairman, Wealth Management and Securities Services, to the position of Vice Chairman and Chief Financial Officer, effective August 1, 2016. Mr. Dolan will succeed Kathleen A. Rogers, the Company’s current Vice Chairman and Chief Financial Officer, who has informed the Company that she plans to step down from her position at that time. Ms. Rogers will remain with the Company in another role. The terms of Mr. Dolan’s compensation for his new position have not been determined at this time. Mr. Dolan and certain of his family members have engaged in lending and other ordinary banking transactions with our banking subsidiaries. All loans and loan commitments and any transactions involving other financial products and services in connection with these transactions were made in the ordinary course of business, on substantially the same terms, including current interest rates and collateral, as those prevailing at the time for comparable transactions with others not related to our banking and investment subsidiaries and did not involve more than the normal risk of collectibility or present other unfavorable features. A copy of the press release issued by the Company on June 13, 2016, for this announcement is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
