(d) On January 31, 2006, the Board of Directors of the Registrant elected Michael Passarella as a director of the Registrant. Mr. Passarella, who has been determined by the Board to be an independent director, has been appointed to serve on the Audit Committee of the Board of the Company.

A copy of the press release announcing the election of Mr. Passarella is attached hereto as Exhibit 99.1.
