Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 30, 2010, Universal Technical Institute, Inc., a Delaware corporation (the "Company"), announced that Ken Cranston, formerly Regional Vice President of Operations, will assume the role of Senior Vice President of Admissions. In his new role, Mr. Cranston will be responsible for all campus, field and military admissions company-wide and will report directly to Kim McWaters, UTI’s President and Chief Executive Officer. Bob Adler, former Senior Vice President of Admissions, will be leaving the Company, effective immediately. Separately, UTI announced that it expects students starting school during the third fiscal quarter of 2010, which ends June 30, 2010, to grow in the range of 30 to 35 percent above the levels of last year. UTI will report results for the third quarter on Tuesday, August 3, 2010. A copy of the Company’s press release announcing the promotion of Mr. Cranston and information regarding third fiscal quarter of 2010 students starting school is filed as Exhibit 99.1 to this Current Report.
