Item 8.01 Other Events

On September 26, 2006, Unitil Corporation’s (“Registrant”) subsidiary, Unitil Energy Systems, Inc. (“UES”), issued and sold $15,000,000 of 6.32% First Mortgage Bonds, due September 15, 2036, to institutional investors in the form of a private placement. The proceeds from the sale of the First Mortgage Bonds will be used principally to repay outstanding short-term indebtedness of UES.
