Item 1.01 Entry into a Material Definitive Agreement

On September 29, 2006, the Board of Directors of Unitil Corporation (“Registrant” or the “Company”) approved a new Employment Agreement between the Company and its Chairman, President and Chief Executive Officer, Robert G. Schoenberger. A copy of the Employment Agreement is attached to this Form 8-K as Exhibit 10.1.
