TXT E-SOLUTIONS: RESIGNATION OF A DIRECTOR
Milan, January 8, 2025 – TXT e-solutions S.p.A. ("TXT" or the "Company"), a company listed on the STAR Segment of the Italian Stock Market organized and managed by Borsa Italiana S.p.A., announces that today, Board Member Paolo Lorenzo Mandelli – a non-executive and independent director, as well as a member of the Company's Remuneration Committee – has tendered his resignation with immediate effect due to personal reasons.
It is noted that Paolo Lorenzo Mandelli was appointed by the Shareholders' Meeting held on April 20, 2023, as part of the slate submitted by shareholder Laserline S.p.A., which included other non-elected candidates. Pursuant to Article 15 of TXT's bylaws, the necessary inquiry has been initiated to proceed with the co-optation of a new director.
The Board of Directors will, therefore, proceed with the co-optation of a new director at the earliest opportunity, following the conclusion of the selection process.
The Board of Directors extends its gratitude to Paolo Lorenzo Mandelli for his dedication and professional contributions as a member of the Company's Board.
It is also specified that, as of today, and based on the information available to the Company, Paolo Lorenzo Mandelli does not hold any shares in the Company's capital and is not entitled to any compensation or benefits as a result of his resignation.
