RESIGNATION OF THE DIRECTOR CARLO GOTTA
Milano, 13 April 2023 – 20:00
TXT e-solutions S.p.A. ("TXT" or the "Company"), a company listed on the STAR Segment of the Mercato Telematico Azionario organised and managed by Borsa Italiana S.p.A., announces that today the Company's independent director, Mr. Carlo Gotta, has resigned from office with immediate effect for personal and professional reasons. Consequently, the functions held by Mr. Carlo Gotta within the Risks and Internal Controls Committee and the Related Parties Committee are also lost.
The Company would like to thank Carlo Gotta for his work as a member of the TXT Board of Directors.
The Board of Directors of TXT held today resolved not to proceed with the co-optation of a director, taking into account the fact that the Ordinary Shareholders' Meeting is called for 20 April 2023 also to resolve on the renewal of the Board.
