Share Purchase Plan: Cleansing Notice

Notice under ASIC Class Order [CO 09/425]

Davenport Resources Ltd (“Davenport” or “the Company”) gives notice under paragraph 7(f)(ii) of Australian Securities & Investments Commission (“ASIC”) Class Order [CO 09/425] as follows:

  • (a) Davenport will, under a Share Purchase Plan (“SPP”), make offers to eligible shareholders to subscribe for up to $15,000 worth of fully paid ordinary shares in the capital of the Company (“New Shares”) under the SPP;

  • (b) the issue of the New Shares under the SPP will be without disclosure to investors under Part 6D.2 of the Corporations Act 2001 (Cth) (“Corporations Act”);

  • (c) the Company is giving this Notice in accordance with ASIC Class Order [CO 09/425];

  • (d) as at the date of this Notice the Company has complied with:

(i) the provisions of Chapter 2M of the Corporations Act as they apply to the Company; and (ii) section 674 of the Corporations Act; and

  • (e) as at the date of this Notice, there is no excluded information of the type referred to in subsections 708A(7) and 708A(8) of the Corporations Act as if this Notice were a notice under paragraph 708A(5)(e) of the Corporations Act.
