APPOINTMENT AND RESIGNATION OF INDEPENDENT NON-EXECUTIVE DIRECTOR

The board of directors (the “Board”) of China Velocity Group Limited (the “Company”) announces that Mr. Lam Ping Cheung has resigned as independent non-executive director and member of audit committee of the Company for his personal reason with effect from 23 June 2006. Mr. Lam has confirmed that there is no disagreement with the Board and there is no other matters in relation to his resignation that needs to be brought to the attention of the shareholders of the Company.

The Board is also pleased to announced that Mr. Tong Ka Ming has been appointed as an independent nonexecutive director and a member of audit committee of the Company with effect from 23 June 2006.

Mr. Tong, aged 40, holds a Bachelor Degree in Business Studies from the University of Bradford, United Kingdom and a Master Degree in Finance from the University of Sydney, Australia. Mr. Tong is an associate member of the Hong Kong Institute of Certified Public Accountants and a member of CPA Australia. He has over 10 years of experience in auditing, accounting and financial management. He is currently the financial controller of Ocean Grand Chemicals Holdings Limited which is a publicly listed company in Hong Kong. Save as disclosed herein, he did not hold any other directorships in listed public companies or any other position with the Company and other members of the Group in the last three years.

There is no service contract entered into between the Company and Mr. Tong. He is not appointed for a specific term and is subject to rotation, retirement and re-election at annual general meeting pursuant to articles of association of the Company. The amount of emoluments for Mr. Tong is HK$75,000 per annum, which is determined by arm’s length negotiation between the parties with reference to prevailing market rate. Saved as disclosed herein, there are no other benefits provided to Mr. Tong for his directorship in the Company.

Mr. Tong does not have any relationship with any directors, senior management, substantial shareholders or controlling shareholders of the Company. As at the date of this announcement, Mr. Tong did not have any interests in shares of the Company within the meaning of Part XV of the Securities and Futures Ordinance (Chapter 571 of the Laws of Hong Kong).

Save as disclosed above, Mr. Tong does not have any information to be disclosed pursuant to Rule 13.51(2)(h) to Rules 13.51(2)(w) of the Listing Rules.
