Resignation and Appointment of a new Member of the Board of Directors

Rome, 23 July 2018. Tecnoinvestimenti S.p.A. communicates that Alessandro Barberis, independent Board Member as well as Vice-Chairman of the Board of Directors and member of the Remuneration Committee, has resigned from the Board and his other functions for strictly personal motives. Tecnoinvestimenti S.p.A. thanks in particular the resigning Board Member for his participation and the work undertaken on behalf of the Company.

The Board of Directors of Tecnoinvestimenti S.p.A., which met today, appointed by co-optation – respecting in full what is foreseen by Article 11 of the Articles of Association – the first candidate among those not elected in the Shareholders' General Meeting of 24 April 2018 of the Majority List (from which the resigning Board member had been elected), specifically the new Board Member Gianpaolo Coscia (his curriculum vitae is available on the corporate web site www.tecnoinvestimenti.it /Governance section).

The Board of Directors verified that the newly appointed Board Member Gianpaolo Coscia meets the requirements for independence.

The Board of Directors mandated the Chairman of the Board of Directors to undertake all that is necessary according to Law and the Articles of Association for the substitution of the resigned director.

Tecnoinvestimenti S.p.A. notes that the newly appointed director Gianpaolo Coscia does not detain any shares in the Company.

The Tecnoinvestimenti Group reported the following Consolidated results for 2017: Revenues of €181.0 million, EBITDA of €40.6 million and Net profit of €20.3 million.
