The Company has closed its previously announced non-brokered private placement of 8,500,000 common shares (the “Placement”) generating aggregate gross proceeds of $620,500.

Full Description of Material Change
A total of $620,500 was raised in the Placement from the sale of 8,500,000 common shares at a price of $0.073 per share. All securities issued in the Placement are subject to a hold period in Canada expiring on July 7, 2025. A cash finder’s fee of $37,230 was paid in connection with the Placement.
