Item 2.02 Results of Operations and Financial Condition.

On August 2, 2011, Thor Industries, Inc. (the “Company”) issued a press release announcing certain financial results for the quarter and twelve months ended July 31, 2011. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated by reference herein.
